Indenture Governs. In the event of any conflict between the Indenture and any Security Document (including this Agreement), the terms and provisions of the Indenture shall control.
Indenture Governs. Except as expressly set forth herein, this Agreement shall not by implication or otherwise limit, impair, constitute a waiver of or otherwise affect the rights and remedies of any noteholder, the Trustee under the Indenture or any other Indenture Document, and shall not alter, modify, amend or in any way affect any of the terms, conditions, obligations, covenants or agreements contained in the Indenture or any other Indenture Document, all of which shall continue in full force and effect. Nothing herein shall be deemed to entitle any Issuer or Guarantor to a consent to, or a waiver, amendment, modification or other change of, any of the terms, conditions, obligations, covenants or agreements contained in the Indenture or any other Indenture Document in similar or different circumstances.

Indenture Governs. Notwithstanding anything to the contrary contained herein, this Debenture is issued subject always to the covenants, conditions, limitations and other provisions contained in the Indenture. In the event of any conflict, discrepancy, difference or ambiguity in or between any of the provisions of this Debenture and any of the provisions of the Indenture, including, without limitation, in the amount payable thereunder, the principal sum for which this Debenture is expressed to be security, the interest payable and the interest rate on such principal sum, the default rate of interest, the time at which demand may be made, the covenants therein and the remedies available to the Secured Creditors, the provisions of the Indenture shall prevail and the provisions of this Debenture shall be deemed to be rendered inoperative by the Indenture, to the extent necessary to eliminate such conflict, discrepancy, difference or ambiguity.
