ICI Acceptance Date Disagreement. If the Borough determines at any time during such 30-day review period that it does not concur with such certification, the Borough shall promptly send w xxxxxx notice to the Compan y of the basis for its disagreement. In the event of any such non-concurrence by the Borough, (1) the Com pan y sh all resubmit a revised, certified Acceptance Test report in accordance with Section 10.6, or (2) either party may elect to refer the dispute to Non-Binding M ediation for resolution pursuant to Section 13.12. The mediator shall issue a decision within 60 days of the dispute referral unless both parties agree that m ore time is appropriate. In the event that the mediator fails to issue a decision within 60 days, then either party may initiate judicial proceedings. The parties acknowledge and agree that any decision rendered by the mediator as to whether ICI Acceptance has occurred shall be non-binding. ICI Acceptance shall not be deemed to have been achieved unless the ICI Acceptance Test, conducted in a unified and continuous m anner as provided in the ICI Acceptance Test plan and Appendix 7, demon strates that all of the ICI Acceptance Test Procedures and Standards have been met, and all other ICI Acceptance Date Conditions have been satisfied. In the event the Compan y, in conducting the ICI Acceptance Test, does not successfully meet the applicable ICI Accepta.ce Test Procedures and Standards, the Borough shall have th e right, in its sole discretion, to permit the Company to re-test the Initial Capital Improvem ents for compliance only with the ICI Acceptance Test Procedures and Xxxx dards n ot previously achieved through an earlier ICI Acceptance Test. Nothing in th is Section shall prevent the Company from bringing an action or from repeating the ICI Acceptance Test in order to establish the ach ievement of ICI Acceptance.
