Highmark Obligations. A. ID(s) and Password(s). Upon Company’s electronic approval of this Agreement, Highmark will assign logon ID(s) and password(s) to Company to allow Company to authenticate its identity and transmit data electronically. Highmark shall retain title to all logon ID(s) and password(s), and reserves the right to change any logon ID or password at any time, for any reason, or if required to do so by law, regulation, or court order.

Highmark Obligations. Highmark shall take written Instructions from each Plan or Sponsor regarding the Services to be provided by Company and the Data that Highmark shall Disclose to Company. Said Instructions shall be incorporated into this Agreement by reference. Highmark shall only Disclose Data to Company that is consistent with the Services ; and, when applicable: (i) the “minimum necessary” PHI as required by 45 C.F.R. § 164.502(b) of the Privacy Rule’ and Attachments #1 and #2. Upon Company’s completion and acceptance of the applicable Highmark form for each user (attached hereto as Exhibit A), Highmark will assign logon ID(s) and password(s) to Company to allow Company to authenticate its identity and exchange Data electronically. Highmark shall retain title to, and reserves the right to change any logon ID(s) or password(s) at any time, for any reason, or if required to do so by law, regulation or court order.

The Data the Parties exchange pursuant to this Agreement may change as a result of Company’s group coverage alterations, cancellations, or deletion of members in accordance with the terms and conditions of the Company’s Benefits Contract; or in response to changes in law or regulation.   • SAP OBLIGATIONS 3.1 Instructions from Customer. SAP will process Personal Data only in accordance with documented instructions from Customer. The Agreement (including this DPA) constitutes such documented initial instructions and each use of the Cloud Service then constitutes further instructions. SAP will use reasonable efforts to follow any other Customer instructions, as long as they are required by Data Protection Law, technically feasible and do not require changes to the Cloud Service. If any of the before-mentioned exceptions apply, or SAP otherwise cannot comply with an instruction or is of the opinion that an instruction infringes Data Protection Law, SAP will immediately notify Customer (email permitted).

  • STUDENT OBLIGATIONS The student agrees to use the property as his or her personal residence. The student shall maintain the interior of the property in a reasonably clean and safe condition, use reasonable care in consumption of utilities and services furnished by the landlord, and avoid unreasonable noise or other disruption of the privacy and peaceful enjoyment of the premises by the landlord and other students.   • Developer Obligations In accordance with applicable NYISO requirements, Developer shall maintain satisfactory operating communications with Connecting Transmission Owner and NYISO. Developer shall provide standard voice line, dedicated voice line and facsimile communications at its Large Generating Facility control room or central dispatch facility through use of either the public telephone system, or a voice communications system that does not rely on the public telephone system. Developer shall also provide the dedicated data circuit(s) necessary to provide Developer data to Connecting Transmission Owner and NYISO as set forth in Appendix D hereto. The data circuit(s) shall extend from the Large Generating Facility to the location(s) specified by Connecting Transmission Owner and NYISO. Any required maintenance of such communications equipment shall be performed by Developer. Operational communications shall be activated and maintained under, but not be limited to, the following events: system paralleling or separation, scheduled and unscheduled shutdowns, equipment clearances, and hourly and daily load data.
