Guaranty; Guarantor. Any Guaranty ceases to be in full force and effect or any action is taken to discontinue or assert the invalidity or unenforceability of any Guaranty or any Guarantor fails to comply with any of the terms or provisions of any Guaranty, or any representation or warranty of any Guarantor therein is discovered to have been false in any material respect when made, or any Guarantor denies that it has any further liability under any Guaranty or gives notice to Lender to such effect.

Guaranty; Guarantor. (a) The Rent and other obligations pursuant to the Lease are unlimitedly guaranteed by Balanced Care Corporation ("Guarantor") pursuant to a guaranty agreement ("Guaranty") executed simultaneously herewith which is attached hereto as Exhibit 2.6 and made a part hereof.

Borrower fails to deliver or cause to be delivered to Administrative Agent any Guaranty (or joinder to an existing Guaranty) or any other item required by Section 8 within the time period set forth in such Section. Any Guaranty ceases to be in full force and effect or any action is taken to discontinue or assert the invalidity or unenforceability of any Guaranty or any Guarantor fails to comply with any of the terms or provisions of any Guaranty, or any representation or warranty of any Guarantor therein is false, or any Guarantor denies that it has any further liability under any Guaranty or gives notice to Administrative Agent or any Lender to such effect, or any Guarantor fails to furnish the financial statements required under any Guaranty.
Guaranty; Guarantor. If a Default or an Event of Default shall occur under the Guaranty. In any such event in addition to Lender's other remedies under this Agreement, Lender may , by notice to Borrower, Immediately cease making further Advances.
Guaranty; Guarantor. If a Default or an Event of Default shall occur under the PDS Loan Agreement or the Guaranty. In any such event, in addition to Lender's other remedies under this Agreement, Lender, by notice to Borrower, may declare that no further Advances shall be made.

Failure of any Subsidiary of Borrower (other than the Dormant Subsidiaries) to have guarantied all of the Loan Obligations, or the failure of any Subsidiary of Borrower (other than the Dormant Subsidiaries) to have granted a lien and Security Interest on all of its personal property and such of its real property as is required by Administrative Agent in favor of Administrative Agent.
