Guarantee Transfer. To the extent that any guarantees from aircraft manufacturers, previous aircraft owners, service providers or aircraft suppliers are still valid and appropriated, all rights under such guarantees are appropriated and transferred to the buyer from the closing date. The seller should reasonably assist the Buyer, at the buyer's expense, in maintaining continuity and transferring any such guarantees by executing any documents or it may be necessary to grant all rights under such guarantees to the buyer. The buyer is responsible for any fees associated with the transfer of such guarantees and must pay them. 1.2.2
Guarantee Transfer. Subject to the prior written approval of the Lender if a claim has not been paid, which approval shall not be unreasonably withheld, USA Funds may transfer the Guarantee of Loans to a guarantor that has acknowledged in writing its intent to accept such transfer. Guarantee Transfer.
