Grants and Subsidies. So far as the Seller is aware, no Group Company has done or agreed to do anything as a result of which:
Grants and Subsidies. Other than as set forth in Section 3.26 of the Foamix Disclosure Letter, neither Foamix nor the Foamix Subsidiary has, as of the date of this Agreement, (i) applied for, accepted or become subject to any requirement or obligation relating to any grants, incentives (including tax incentives), benefits, funding, loan, support, exemptions, qualifications and subsidies or similar benefits (hereinafter referred to, collectively, as “Grants”) from any Governmental Entity or from other bi- or multi-national grant programs or (ii) amended or terminated, or waived any material right or remedy related to, any Grant.

Other than as set forth in Section 4.27 of the Menlo Disclosure Letter, Menlo has not, as of the date of this Agreement, (i) applied for, accepted or become subject to any requirement or obligation relating to any Grants from any Governmental Entity or from other bi- or multi-national grant programs or (ii) amended or terminated, or waived any material right or remedy related to, any Grant.

Grants and Subsidies. 2.1 None of the Assets has been acquired with the assistance of any governmental, local governmental, quasi-governmental or regulatory grant, subsidy or aid or is held on terms that any such grant, subsidy or aid is due to be repaid or reimbursed in any circumstances.

Grants and Subsidies. No Target has applied for or received any grant, subsidy, payment or allowance from any Governmental Authority, or has any present Liability of whatsoever nature and kind resulting from any subsidy agreement, contribution agreement or similar agreement between any Target and any Governmental Authority.
Grants and Subsidies. Novuspharma is as of the date hereof in compliance in all material respects with all requirements in respect of the Grants and Subsidies including, without limitation, pursuant to Laws 451/94 and 46/82, the regional law 140/97 and the specific progress reporting requirements and progress milestones of Grants and Subsidies financed pursuant to MURST/MIUR decrees.
Grants and Subsidies. 3.6.1 Copies of all documents relating to all financial aid, grants and subsidies that have been granted to the Company by any public authority, as well as all applications by the Company for any grant or subsidy are included in Sections X:\XX XXXXXXX-GRANTS, X:\DD OPERACION XXXXXXXX\4-CONTRATOS RELEVANTES\4-LOANS and X:\DD OPERACION XXXXXXXX\5-DERECHO ADMINISTRATIVO\4-SUBVENCIONES of the Data Room.
Grants and Subsidies. Section 3.27 of the Company Disclosure Letter provides a complete list, as of the date hereof, of all pending, approved and granted incentives, grants, exemptions and subsidies (collectively, “Grants”) from any Governmental Entity granted to the Company or any of its Subsidiaries. The Company has made available to the Parent, prior to the date hereof, true, complete and correct copies of all documents evidencing Grants submitted by the Company and of all letters of approval, certificates of completion, and supplements and amendments thereto, and all material correspondence related thereto. Section 3.27 of the Company Disclosure Letter lists, as of the date hereof: (a) all material undertakings of the Company or any of its Subsidiaries given in connection with the Grants; (b) the aggregate amount of each Grant; (c) the aggregate outstanding obligations of the Company and its Subsidiaries under each Grant; and (d) general limitations on the use of the Grants. The Company and the applicable Subsidiary is in compliance, in all material respects, with the terms and conditions of all Grants and has duly fulfilled, in all material respects, all the undertakings required thereby. Assuming compliance by the Parent with any undertakings it may give with respect to the Grants, the Company is not aware of any event or other set of circumstances which would reasonably be expected to lead to the revocation or material modification of any of the Grants.
