Data Room definition

Data Room means the virtual data room maintained by the Liquidator, created for the Qualified Bidders to access information in relation to the Company;
Data Room has the meaning set forth in Section 1.2.
Data Room means the virtual data room created and maintained by the Liquidator for Qualified Bidder(s) to conduct the due diligence and to access the information & documents in relation to the Corporate Debtor under the terms of the Confidentiality Undertaking;

Examples of Data Room in a sentence

  • The Certificate Administrator shall not be required to restrict access to the Secure Data Room on a loan-by-loan basis and any Person with access to the Secure Data Room shall covenant to access only the information necessary to perform its duties and responsibilities under this Agreement.

  • Upon receipt of such certification, the Certificate Administrator shall promptly (and in any case within two (2) Business Days after such receipt) grant the Asset Representations Reviewer access to the Secure Data Room.

  • In no case whatsoever shall Certificateholders be permitted to access the Secure Data Room.

  • Access to the Secure Data Room shall be granted by the Certificate Administrator to (i) the Asset Representations Reviewer and (ii) any other Person at the direction of the Depositor, in each case, upon the occurrence of an Affirmative Asset Review Vote and receipt by the Certificate Administrator of a certification substantially in the form of Exhibit RR (which shall be sent via email to ▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇@▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ or submitted electronically via the Certificate Administrator’s website).

  • The Certificate Administrator shall not have any obligation to produce physical or electronic copies of any document or information provided to it for posting to the Secure Data Room.


More Definitions of Data Room

Data Room has the meaning set forth in Section 11.5.
Data Room means the Data Room relating to the Assets comprising the information made available to the Buyer and its advisers referred to in the Disclosure Letter;
Data Room means the material contained in the virtual data room established by the Company as at 5:00 p.m. on December 14, 2012, the index of documents of which is appended to the Company Disclosure Letter, or, in the case of the “Double Eagle Sensitive” index, which has been provided to the Purchaser’s transaction advisor, KPMG LLP.

Data Room means the virtual data room established for the purpose of sharing due diligence materials with respect to the Company.
