General Partner's Certificate. A certificate, dated such Option Closing Date, to the effect set forth in, and signed by the secretary of Lex GP, in its capacity as the general partner of each Operating Partnership, as specified in Section 5(f) hereof, except that the references in such certificate to the Closing Date shall be changed to refer to such Option Closing Date.
General Partner's Certificate. At the Closing Date, the Representatives shall have received a certificate signed by the secretary of Lex GP, in its capacity as the general partner of each Operating Partnership, dated as of the Closing Date, to the effect that (i) there has been no material adverse change as described in Section 5(b) hereof, (ii) the representations and warranties of the Operating Partnerships in this Agreement are true and correct with the same force and effect as though expressly made at and as of the Closing Date, and (iii) the obligations of the applicable Operating Partnership to be performed at or prior to the Closing Date under or pursuant to this Agreement have been duly performed.
General Partner's Certificate. The Company shall have received from each Purchaser a certificate, dated the Closing Date and signed by the general partner or an appropriate officer of each such Purchaser, certifying that the conditions set forth in Sections 4.1 and 4.2 hereof have been satisfied on and as of such date with respect to such Purchaser.
General Partner's Certificate. AHF shall have received a certificate from the General Partner that the representations, warranties and covenants in Article 4 and Section 6.18 of this Agreement are true and accurate in all material respects as of the date of the proposed Second Capital Contribution and that the General Partner and the Partnership are not in default of any of their obligations hereunder and under the Project Documents as of the date of the proposed Second Capital Contribution.
General Partner's Certificate. At the Closing Date, the Underwriter shall have received a certificate signed by the secretary of Lex GP-1 Trust (“Lex GP”), in its capacity as the general partner of each Operating Partnership, dated as of the Closing Date, to the effect that (i) there has been no material adverse change as described in Section 5(b) hereof, (ii) the representations and warranties of the Operating Partnerships in this Agreement are true and correct with the same force and effect as though expressly made at and as of the Closing Date, and (iii) the obligations of the applicable Operating Partnership to be performed at or prior to the Closing Date under or pursuant to this Agreement have been duly performed.
General Partner's Certificate. The Investor shall deliver to the ----------------------------- Company at the Closing a certificate executed by the General Partner of the Investor certifying as to the approval of this Agreement and the consummation of the transactions contemplated hereby.
