General Counsel Opinion. Xxxxx X. Xxxxxxxx shall have furnished to the Representative his written opinion, as general counsel to the General Partner, addressed to the Underwriters and dated such Delivery Date, in form and substance reasonably satisfactory to the Representative, substantially in the form attached hereto as Exhibit C.
General Counsel Opinion. Xx. Xxxx Xxxxxxx shall have furnished to the Underwriter her written opinion, as general counsel to the General Partner, addressed to the Underwriter and dated such Delivery Date, in form and substance reasonably satisfactory to the Underwriter, substantially in the form attached hereto as Exhibit C.
General Counsel Opinion. At the Closing Date, the Representative shall have received the favorable opinion, dated as of the Closing Date, of Xxxxxxxxxxx X. Xxxxxx, Senior Vice President, General Counsel and Secretary of the Company (the “General Counsel”), addressed to the Underwriters and in form and substance satisfactory to the Representative, together with signed or reproduced copies of such opinion for each of the other Underwriters, to the effect set forth in Exhibit F-2 hereto and to such further effect as the Representative may reasonably request.
General Counsel Opinion. If requested by the Representatives, the favorable opinion of J. Xxxxxxx XxXxxxxxxx, general counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
General Counsel Opinion. As of the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Underwriter, a written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriter, of the General Counsel to the Company and Carnival plc, or an Associate or Deputy General Counsel to the Company and Carnival plc that practices in the area of corporate and securities law.
General Counsel Opinion. The opinion of Xxx X. Xxxxxxxx, General Counsel of the Issuers, dated the Closing Date, in the form of Exhibit D attached hereto.
General Counsel Opinion. On the First Representation Date and on each Representation Date, the Partnership shall furnish or cause to be furnished forthwith to the Managers and to counsel to the Managers a written opinion of Xxxxx X. Xxxxxxxx, as general counsel to the General Partner, dated and delivered the date of the First Representation Date or such Representation Date, as the case may be, in form and substance satisfactory to the Managers, substantially in the form as the opinions referred to in Section 6(c) of this Agreement, but modified as necessary to relate to the Registration Statement and the Prospectus as amended and supplemented to the time of delivery of such opinion.
General Counsel Opinion. The Partnership shall have requested and caused Xxxxx X. Xxxxxxxx, as general counsel to the General Partner, to furnish to the Managers, on every date specified in Section 4(m) of this Agreement, except as otherwise provided in Section 4(q), his written opinion, dated as of such date and addressed to the Managers, in form and substance satisfactory to the Managers, substantially in the form attached hereto as Exhibit B.
General Counsel Opinion. The favorable opinion of Xxxxxx X. Xxxxxxxx, Esq., Senior Vice President and General Counsel of the Company, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
General Counsel Opinion. Xxxxxx X. Xxxx, or any other Officer of the General Partner acceptable to the Manager, shall have furnished to the Manager a written opinion pursuant to Section 4(x).
