Further Documents and Assistance. Whenever requested to do so by the Company, the Employee shall execute any and all applications, assignments or other instruments which the Company shall deem necessary to apply for and obtain patents or copyrights of Canada, the United States or any foreign country or to otherwise protect the Company’s interest in the Inventions and shall assist the Company in every proper way (entirely at the Company’s expense, including compensation to the Employee for all time and expenses) to obtain such patents and copyrights and to enforce them. To the extent that the Company makes a request under this Section after the termination of this Agreement, the Company will compensate the Employee on an hourly basis pro rata to the Base Salary in effect at the time of termination.

Further Documents and Assistance. Upon request by Echo Bay Marina & Lodge in its discretion, each of the Entrant and the Designer(s) will, at their sole cost, provide such information and documents, do such additional things, and sign such further documents as are reasonably required to confirm their compliance with the Rules and to perfect and protect Echo Bay Marina & Lodge’s ownership of and rights to use and exploit the Design that is chosen to be the Winning Logo. Without limiting the generality of the foregoing, if the Design is selected to be the Winning Logo, the Entrant and the Designer(s) will each execute and deliver to Echo Bay Marina & Lodge: (a) a certificate accepting the prize awarded to the Entrant; (b) a consent to the announcement of their names and the use of their personal information by Echo Bay Marina & Lodge in connection with the use and promotion of the Winning Logo; (c) a declaration confirming compliance with the Rules; and (d) a confirmatory intellectual property rights assignment and waiver, release and indemnity agreement. If any of the Designers are unable for any reason whatsoever to comply with their obligations set forth above, each Designer hereby irrevocably designates and appoints the Entrant (or the Entrant’s successors and permitted assigns) and the Entrant’s duly authorized officers and representatives as the Designer’s agents and attorneys-in-fact to act for and on the Designer’s behalf and instead of the Designer to execute and file any such document and to do all other lawfully permitted acts to further the purposes of the foregoing with the same legal force and effect as if executed by the Designer.

  • Further Documents Lender or its counsel shall have received such other and further approvals, opinions, documents and information as Lender or its counsel may have reasonably requested including the Loan Documents in form and substance satisfactory to Lender and its counsel.

Notwithstanding the foregoing each Debtor hereby irrevocably authorizes the Secured Party at any time and from time to time to file in any filing office in any jurisdiction any initial financing statements (and other similar filings or registrations under other applicable laws and regulations pertaining to the creation, attachment, or perfection of security interests) and amendments thereto that (a) indicate the Collateral (i) as all assets of such Debtor or words of similar effect, regardless of whether any particular asset comprised in the Collateral falls within the scope of Article 9 of the UCC, or (ii) as being of an equal or lesser scope or with greater detail, and (b) contain any other information required by part 5 of Article 9 of the UCC for the sufficiency or filing office acceptance of any financing statement or amendment, including (i) whether such Debtor is an organization, the type of organization and any organization identification number issued to such Debtor, and (ii) in the case of a financing statement filed as a fixture filing, a sufficient description of real property to which the Collateral relates. Each Debtor agrees to furnish any such information to the Secured Party promptly upon request. Each Debtor also ratifies its authorization for the Secured Party to have filed in any jurisdiction any like initial financing statements or amendments thereto if filed prior to the date hereof.

  • Further Documentation The Fund will also furnish from time to time the following documents:
