Full Force and Effect; Conflicts. Except as expressly provided in this Amendment, the terms and conditions of the Agreement shall remain in full force and effect. Whenever there is a conflict between any of the provisions in this Amendment and the Agreement, the provisions of this Amendment shall be deemed to govern and control.
Full Force and Effect; Conflicts. Except as modified by this Amendment, all of the terms of the Merger Agreement shall remain in full force and effect; provided, that in the event of any conflict between the terms of this Amendment and the terms of the Merger Agreement, the terms of this Amendment shall control. The License Agreement and its appendices and exhibits remain unmodified and in full force and effect, except as modified hereby, the parties specifically intending the Amendments listed in Section 2 to supersede, amend and supplement the License Agreement and its appendices and exhibits.

Except as otherwise expressly modified in this Amendment, the terms and conditions of the Lease are and shall remain in full force and effect and shall apply to the Premises, as such term is modified by this Amendment. In the event of any conflict or inconsistency between the terms and provisions of the Lease and the terms and provisions of this Amendment, the terms and provisions of this Amendment shall govern and control.
