Extraordinary Mandatory Prepayment from Unexpended Certificate Proceeds. In the event moneys are remaining in the Improvement Fund at the close of the Expenditure Period, then the District shall purchase that portion of the Improvements equal to the unexpended moneys in the Improvement Fund at the close of the Expenditure Period, rounded up to the next highest $5,000 denomination. The Prepayment Price pursuant to this Section shall equal 100% of the Principal Portion of Basic Rent called for prepayment plus Interest Portions of Basic Rent accrued to the Prepayment Date. Under Section 54A of the Code, the District may apply to the IRS for an extension of the Expenditure Period. If the District requests an extension and the IRS approves the request, the Improvements will be subject to extraordinary mandatory prepayment, in whole or in part, on a date that is not more than 90 days after the end of the Extension Period, at the Prepayment Price and in the amount as described above. Upon any partial prepayment pursuant to this Section 10.02(b), the amount of each Interest Portion of Basic Rent coming due thereafter will be reduced by the amount of such Interest Portion attributable to such prepaid Principal Portion determined by applying the annual Interest Rate corresponding to such prepaid Principal Portion as shown on Exhibit A. The District is not required to give the Trustee any advance written notice prior to the date of purchase pursuant to this Section 10.02(b).

Extraordinary Mandatory Prepayment from Unexpended Certificate Proceeds. The Series 2012 Certificates are subject to extraordinary mandatory prepayment, in whole or in part, on a date that is not more than 90 days after the third anniversary of the Commencement Date of the Lease (the “Expenditure Period,” except as described below), in Authorized Denominations, at the Prepayment Price of 100% (expressed as a percentage of the Principal Portion of Basic Rent) of the Certificates called for prepayment, in an amount equal to the unexpended proceeds of the Series 2012 Certificates held by the Trustee, if any. Under Section 54A of the Code, the District may apply to the IRS for an extension of the Expenditure Period. If the District requests an extension and the IRS approves the request, the Series 2012 Certificates will be subject to extraordinary mandatory prepayment, in whole or in part, on a date that is not more than 90 days after the end of the Extension Period, at the Prepayment Price and in the amount as described above. In the event any of the Certificates are to be prepaid, notice thereof identifying the Certificates to be prepaid will be given by first class mail, postage prepaid, mailed not more than 60 days and not less than 30 days prior to the Prepayment Date to each registered Owner of Certificates to be prepaid. The failure of the registered Owner of any Certificate to be so prepaid to receive notice of prepayment mailed as herein provided will not affect or invalidate the prepayment of such Certificate. All Certificates for which notice of prepayment is given will cease to bear interest on the specified Prepayment Date, provided moneys or certain securities for their prepayment are on deposit at the place of payment at that time, will cease to be entitled to any benefit or security under the Declaration of Trust and will no longer be deemed to be outstanding under the Declaration of Trust.

  • Reduction of Servicing Compensation in Connection with Prepayment Interest Shortfalls In the event that any Mortgage Loan is the subject of a Prepayment Interest Shortfall, the Servicer shall, from amounts in respect of the Servicing Fee for such Distribution Date, deposit into the Collection Account, as a reduction of the Servicing Fee for such Distribution Date, no later than the Servicer Remittance Date immediately preceding such Distribution Date, an amount up to the Prepayment Interest Shortfall; provided that the amount so deposited shall not exceed the Compensating Interest for such Distribution Date. In case of such deposit, the Servicer shall not be entitled to any recovery or reimbursement from the Depositor, the Trustee, the Issuing Entity or the Certificateholders. With respect to any Distribution Date, to the extent that the Prepayment Interest Shortfall exceeds Compensating Interest (such excess, a "Non-Supported Interest Shortfall"), such Non-Supported Interest Shortfall shall reduce the Current Interest with respect to each Class of Certificates, pro rata based upon the amount of interest each such Class would otherwise be entitled to receive on such Distribution Date. Notwithstanding the foregoing, there shall be no reduction of the Servicing Fee in connection with Prepayment Interest Shortfalls related to the Relief Act or bankruptcy proceedings and the Servicer shall not be obligated to pay Compensating Interest with respect to Prepayment Interest Shortfalls related to the Relief Act or bankruptcy proceedings.

  • Allocation of Subordinate Reduction Amount to the Reference Tranches On each Payment Date prior to the Termination Date, after allocation of the Senior Reduction Amount and the Tranche Write-down Amount or Tranche Write-up Amount, if any, for such Payment Date as described above, the Subordinate Reduction Amount will be allocated to reduce the Class Notional Amount of each Class of Reference Tranche in the following order of priority, in each case until its Class Notional Amount is reduced to zero:

  • Other Mandatory Prepayments In addition to and without limiting any provision of any Loan Document:

  • Allocation of Senior Reduction Amount to the Reference Tranches On each Payment Date prior to the Termination Date, after allocation of the Tranche Write-down Amount or Tranche Write-up Amount, if any, for such Payment Date as described above, the Senior Reduction Amount will be allocated to reduce the Class Notional Amount of each Class of Reference Tranche in the following order of priority, in each case until its Class Notional Amount is reduced to zero:
