The City recognizes that the Interest Portion of the Basic Rent Payments represented by the Certificates will remain excludable from gross income only if the Post-Issuance Tax Requirements are followed after the Issue Date.
This Tax Agreement may be amended from time to time by the parties to this Tax Agreement without notice to or the consent of any of the Certificate owners, but only if such amendment is in writing and is accompanied by an Opinion of Special Counsel to the effect that, under then existing law, assuming compliance with this Tax Agreement as so amended such amendment will not cause any payment of the Interest Portion to be included in gross income for federal income tax purposes.
The City further acknowledges that written evidence substantiating compliance with the Post-Issuance Tax Requirements must be retained in order to permit the Certificates to be refinanced with tax-exempt obligations and substantiate the position that the Interest Portion is exempt from gross income in the event of an audit of the Certificates by the IRS.
The parties to this Tax Agreement understand that their certifications will be relied upon by the law firm of ▇▇▇▇▇▇▇ & Bell, P.C., in rendering its opinion as to the validity of the Certificates and the exclusion from federal gross income of the Interest Portion.
The City will comply with such future restrictions that are necessary to maintain the exclusion of the Interest Portion of Basic Rent Payments from gross income for federal income tax purposes.
