Expenses, Taxes, Etc. Except as otherwise expressly provided in this Agreement, each party will pay all fees and expenses incurred by it in connection with the negotiation, execution, delivery of, and the performance under, this Agreement and the consummation of the transactions contemplated hereby.

In addition, for any transfer or exchange of a Note, Borrower may require the transferor to pay a sum sufficient to cover any stamp tax or other governmental charge connected therewith.

In addition, for any transfer or exchange of a Certificate, Agent may require the transferor to pay a sum sufficient to cover any stamp tax or other governmental charge connected therewith.
