PART IN INTEREST; ASSIGNABILITY. This Agreement will be binding upon, inure to the benefit of, and be enforceable by, the respective successors and assigns of the Parties hereto; PROVIDED, HOWEVER, that the Parties may not assign their respective rights and obligations hereunder without the prior written consent thereto of the other Party; notwithstanding the foregoing, Company may freely assign its rights and obligations hereunder to one or more of its affiliates.
