Entire Agreement; Effect on Employment Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement. Notwithstanding the foregoing, (a) the provisions of Sections 6 and 7 of the Employment Agreement shall continue to apply to the Employee and shall remain in full force and effect in accordance with their terms, and (b) the remaining provisions of the Employment Agreement shall be of no further force or effect.
Entire Agreement; Effect on Employment Agreement. The Employment Agreement and this letter agreement, including Attachments A, B and C, contains and constitutes the entire understanding and agreement between the parties hereto with respect to the Transition Period, your severance benefits following the Effective Date of Termination and transition bonus and the settlement of claims against the Company and cancels all previous oral and written negotiations, agreements, commitments and writings in connection therewith. This Agreement sets forth the entire agreement of the parties hereto in respect of the subject matter contained herein and supersedes all prior agreements, promises, covenants, arrangements, communications, representations (including that certain letter from the Executive to the Company dated as of December 13, 2001) or warranties, whether oral or written, by either party or by any officer, employee or representative of either party hereto. Without limiting the generality of the foregoing, as of the Effective Date, the Employment Agreement shall become null and void and of no further force, except that Section 7 thereof shall remain in full force and effect until the second anniversary of the Effective Date.
