Employment at the Facility. The Company hereby agrees to create and maintain at all times at the Facility: zero (0) full time equivalent employees as of the Closing Date and thereafter throughout the Lease Term, calculated on the basis of 35 hours per week who are employees of the Company or any subsidiary or affiliates of the Company, or any consultants, contractors or subcontractors of the Company, or any subsidiary or affiliates of the Company, whose place of employment or workplace is located at the Facility (including the full time equivalent employees of all tenants at the Facility) (“FTE”).
Employment at the Facility. The Company hereby agrees to create and maintain at all times at the Facility: two (2) full time equivalent employees as of December 31, 2022, and thereafter throughout the Lease Term, calculated on the basis of 35 hours per week who are employees of the Company or any subsidiary or affiliates of the Company, or any consultants, contractors or subcontractors of the Company, or any subsidiary or affiliates of the Company, whose place of employment or workplace is located at the Facility (including the full time equivalent employees of all tenants at the Facility) (“FTE”). The Company’s obligation with regard to creating or causing to be maintained FTEs includes (a) using all reasonable efforts to lease up the Facility, and (b) including provisions in all commercial subleases requiring any tenant to comply with the provisions of the Lease Agreement applicable to them.
Employment at the Facility. The Sublessee covenants at all times to create and maintain at the Facility and at its facility located at 000 Xxxxx Xxxxxxxx Xxxxx, Xxxxxxx Xxxxx, Xxx Xxxx 00000: one-hundred seventy-six (176) full time equivalent employees as of December 31, 20[__], and one-hundred eighty-six (186) full time equivalent employees as of December 31, 20[__] and thereafter throughout the Lease Term, calculated on the basis of 35 hours per week who are employees of the Sublessee or any subsidiary or affiliates of the Sublessee, or any consultants, contractors or subcontractors of the Sublessee, or any subsidiary or affiliates of the Company, whose place of employment or workplace is located at the Facility (including the full time equivalent employees of all tenants at the Facility) (“FTE”).
Employment at the Facility. The Company hereby agrees to create and maintain at all times or cause the Sublessees to create and maintain at all times at the Company Facility: ninety-five (95) full time equivalent employees as of December 31, 2022, and one hundred five (105) full time equivalent employees as of December 31, 2023, and thereafter throughout the Lease Term, calculated on the basis of 35 hours per week who are employees of the Company or any subsidiary or affiliates of the Company, or any consultants, contractors or subcontractors of the Company, or any subsidiary or affiliates of the Company, whose place of employment or workplace is located at the Company Facility (including the full time equivalent employees of all tenants at the Company Facility) ("FTE"). It is further provided that the Company may not actually provide the FTEs at the Company Facility, but rather shall sublease the Company Facility to the Sublessees, and the FTE jobs created and maintained by the Sublessees at the Company Facility shall satisfy the requirement above. The Company's obligation with regard to creating or causing to be maintained FTEs includes (a) using all reasonable efforts to lease up the Company Facility, and (b) including provisions in all subleases requiring any tenant to comply with the provisions of the Lease Agreement applicable to them.
Employment at the Facility. Employment at the Facility. The Company hereby agrees to create and maintain at all times in connection with the Facility: one and a half (1.5) full time equivalent employees as of December 31, 2019 and thereafter throughout the Lease Term, calculated on the basis of 35 hours per week who are employees of the Company or any subsidiary or affiliates of the Company, or any consultants, contractors or subcontractors of the Company, or any subsidiary or affiliates of the Company, whose place of employment or workplace is located either at the Facility (including the full time equivalent employees of all tenants at the Facility) or at an office in the City of Poughkeepsie, New York that is operated by a subsidiary or affiliate of the Company (“FTE”). It is further provided that the Company may not actually provide the FTEs at the Facility, but rather shall sublease the Facility to the tenants, and the FTE jobs created and maintained by the tenants at the Facility shall satisfy the requirement above. The Company’s obligation with regard to creating or causing to be maintained FTEs includes (a) using all reasonable efforts to lease up the Facility, and (b) including provisions in all subleases requiring any tenant to comply with the provisions of the Lease Agreement applicable to them.
Employment at the Facility. The Company hereby agrees to create and maintain or cause the Sublessee to create and maintain at the Facility fifty (50) full time equivalent jobs at the Facility based upon a 35 hour work week (“FTE”) as of December 31, 2017 (including the FTE of all tenants at the Facility) and continuing thereafter until the end of the Lease Term. FTE jobs created and maintained by the Sublessee at the Facility shall satisfy the obligations of the Company hereunder.
Employment at the Facility. The Company hereby agrees to create and maintain at all times or cause to be created and maintained at all times at the Facility: two (2) full time equivalent employees as of December 31, 2023 and thereafter throughout the Lease Term, calculated on the basis of 35 hours per week who are employees of the Company or any subsidiary or affiliates of the Company, or any consultants, contractors or subcontractors of the Company, or any subsidiary or affiliates of the Company, whose place of employment or workplace is located at the Facility (including the full time equivalent employees of all tenants at the Facility) (“FTE”).
Employment at the Facility. The Company hereby agrees to create and/or maintain at all times at the Facility: sixty-two (62) full time equivalent employees as of December 31, 2018, and ninety-two (92) full time equivalent employees as of December 31, 2019 and thereafter throughout the Lease Term, calculated on the basis of 35 hours per week who are employees of the Company or any subsidiary or affiliates of the Company, or any tenants, consultants, contractors or subcontractors of the Company, or any subsidiary or affiliates of the Company, whose place of employment or workplace is located at the Facility (including the full time equivalent employees of all tenants at the Facility) (“FTE”).
Employment at the Facility. The Company, through subleases to tenants, hereby agrees to create and maintain at all times at the Facility: Two (2) full-time equivalent ("FTE") employees as of December 31, 2021 and thereafter throughout the Lease Term, calculated on the basis of 35 hours per week who are employees of tenants at the Facility, whose place of employment or workplace is located at the Facility (including the full time equivalent employees of all tenants at the Facility) ("FTE"). It is further provided that the Company will not actually provide the FTEs at the Facility, but rather shall sublease the Facility to the tenants, and the FTE jobs created and maintained by the tenants at the Facility shall satisfy the requirement above. The Company's obligation with regard to creating or causing to be maintained FTEs includes (a) using all reasonable efforts to lease up the Facility, and (b) including provisions in all subleases requiring any tenant to comply with the provisions of the Lease Agreement applicable to them. The Company shall provide, on forms to be provided by the Agency, annual information and reports (and supporting documentation) with respect to its employees and shall cause its affiliates, contractors and agents to provide such information and reports (and supporting documentation) requested by the Agency with respect to their respective employees, if any, at the Facility. The Agency shall have the right, at the Company’s expense, to audit, confirm and/or require additional information with regard thereto and the Company agrees to reasonably cooperate with and to cause its affiliates, contractors, agents, and third parties to cooperate with the Agency in connection therewith.
