Employee and Advisor Obligations. Each Party agrees that it shall provide Confidential Information received from the other Party only to its and its Affiliates' employees, consultants, advisors, contractors and permitted sublicensees who have a need to know such information in order for the receiving Party to exercise its rights or perform its obligations under this Agreement and have an obligation to treat such information and materials as confidential under terms no less restrictive than those set forth herein.

Infinity and Novartis each agree that they shall provide Confidential Information that is jointly owned or that is received from the other Party only to their respective employees, consultants and advisors, and to the employees, consultants and advisors of such Party’s Affiliates, who have a need to know such information and materials for performing obligations or exercising rights expressly granted under this Agreement and have an obligation to treat such information and materials as confidential.

Genaissance and Sciona each agree that they shall provide Confidential Information received from the other Party or its Affiliates only to their respective employees, consultants, advisors, Permitted Sciona Partners who have a need to know such Confidential Information to assist such Party or its Affiliates in fulfilling its obligations under this Agreement, provided that such Affiliates, employees, consultants, advisors, and Permitted Sciona Partners agree to treat such information and materials as confidential and to use such information and materials in accordance with the terms of this Agreement.

Each Party agrees that it may provide Confidential Information received from the other Party (including the terms of this Agreement) only to its and its Affiliates’ (a) employees, consultants, advisors and contractors who have a need to know such information in order for the receiving Party to exercise its rights or perform its obligations under this Agreement, and (b) potential and existing investors, lenders and acquirors, in each case who have an obligation to treat such information and materials as confidential under terms no less restrictive than those set forth herein; provided, that such Party shall redact such portions as the other Party reasonably requests.

ImmunoGen and Aventis each agree that they shall provide Confidential Information received from the other Party only to their respective employees, consultants and advisors, and to the employees, consultants and advisors of such Party’s Affiliates, who have a need to know and have a written obligation to treat such information and materials as confidential in a substantially similar manner to that reflected in the confidentiality obligations of the Parties contained herein.
