Election of Arbitration or Courts. 10.3.1 Any Dispute, including any question regarding the existence, validity, breach or termination of this Master Agreement and all relevant Statement(s) of Work, shall be resolved either (a) by reference to arbitration in Singapore administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC (“SIAC Rules”) for the time being in force which rules are deemed to be incorporated by reference in this Clause, subject to Clause 10.4 below; or (b) by court proceedings in Singapore, as elected by ALPS. Save as provided in Clause 10.5 and Clause 10.6, neither Party may commence any action in any court in relation to any Dispute before ALPS has made an election that disputes shall be resolved by court proceedings pursuant to this Clause. The election by ALPS to resolve a Dispute by arbitration shall be a condition precedent to any arbitration under this Master Agreement, except any arbitration pursuant to Clause 10.3.5.‌

  • LITIGATION OR ARBITRATION In the event that suit or arbitration is brought to enforce the terms of this agreement, the prevailing party shall be entitled to litigation costs and reasonable attorneys' fees. The nature, proceedings and results of the mediation or arbitration shall be kept confidential and kept from public disclosure to the extent possible.
