Effect of Invalidation. Each covenant, condition, restriction and other term of this Agreement is intended to be, and shall be construed as, independent and severable from each other covenant, condition, restriction and other term. If any covenant, condition, restriction or other term of this Agreement is held to be invalid by any court or regulatory body having jurisdiction, the invalidity of such covenant, condition, restriction or other term shall not affect the validity of the remaining covenants, conditions, restrictions or other terms hereof unless the invalidity has a material impact upon the rights and obligations of the Parties. If an invalidity has a material impact on the rights and obligations of the Parties, the Parties shall make a good faith effort to renegotiate and restore the benefits and burdens of this Agreement as they existed prior to the determination of an invalidity.
Effect of Invalidation. To the extent that a court of competent jurisdiction determines that Guarantor’s Subrogation Deferral is void or voidable for any reason, Guarantor agrees, notwithstanding any acts or omissions by Buyer that Guarantor’s rights of subrogation against Seller or Buyer and Guarantor’s right of subrogation against any Security shall at all times be junior and subordinate to Buyer’s rights against Seller and to Buyer’s right, title, and interest in such Security.
Effect of Invalidation. If any provision of this Declaration is held to be invalid by any court, the invalidity of such provision shall not affect the validity of the remaining provisions hereof.

To the extent that a court of competent jurisdiction determines that the provisions of this Article 5 are void or voidable for any reason, the Guarantor agrees, notwithstanding any acts or omissions by the Trustees or the Administrative Agent, that: (i) the Guarantor’s rights of subrogation against the Issuer, the Trustees, the Administrative Agent, the Beneficiaries or any other security provided by the Issuer to secure the Obligations shall at all times be junior and subordinate to the Trustee’s and the Administrative Agent’s rights against the Issuer, as applicable, and such other security; and (ii) the Guarantor’s right of contribution against the Issuer shall be junior and subordinate to the Trustee’s and the Administrative Agent’s rights against the Issuer.

To the extent that a court of competent jurisdiction determines that Parent Guarantor's Subrogation Deferral is void or voidable for any reason, Parent Guarantor agrees, notwithstanding any acts or omissions by Buyer, that Parent Guarantor's rights of subrogation against Seller or Buyer and Parent Guarantor's right of subrogation against any Security shall at all times be junior and subordinate to Buyer's rights against Seller and to Buyer's right, title, and interest in such Security.
Effect of Invalidation. To the extent that a court of competent jurisdiction determines that Borrower's Subrogation Deferral is void or voidable for any reason, Borrower agrees that Borrower's rights of subrogation against the Lenders and Borrower's right of subrogation against any Collateral shall at all times be junior and subordinate to the Lenders' rights against Borrower and the Lenders' right, title and interest in such Collateral.
Effect of Invalidation. Should any part of this Agreement or any provision or provisions contained herein be rendered or declared invalid by reason of any of the contingencies referred to in this Article, such invalidation of such provision or provisions of this Agreement shall not invalidate those unaffected parts or provisions contained in this Agreement and they shall remain in full force and effect.
Effect of Invalidation. If any one or more of the provisions of this Agreement is for any reason held to be invalid, illegal or unenforceable in any respect by any court of competent jurisdiction, such invalidity, illegality and unenforceability shall not affect the validity and enforceability of the other provisions hereof, and this Agreement shall be construed as though such invalid, illegal or unenforceable provision had never been contained herein.
