Effect of Non-Compliance. Failure to comply with the requirements set forth herein may result in termination of this Agreement and/or ineligibility for award of future contracts.

If the Quality Issues have not been cured to Sears’ satisfaction or the Quality Issues remain otherwise uncured after the time period provided for in the Initial Cure Period and any Additional Cure Period(s), such Quality Issues shall be deemed uncured (“Uncured Quality Issues”). In that case, SHAS shall cease use of the Marks on or in connection with the HTS Products, Services or activities that are the subject of the Uncured Quality Issues as soon as reasonably practicable but in no event later than six (6) months after such Quality Issues are determined to be Uncured Quality Issues with regard to use for marketing materials and one (1) year with regard to all use on SHAS’s HTS Products or Services.
Effect of Non-Compliance. Any attempted Transfer not permitted by and in compliance with this Section 6.2 shall be null and void, and the Company shall not recognize the attempted purchaser, assignee, or transferee for any purpose whatsoever, and the Member attempting such Transfer shall have breached this Agreement for which the Company and the shall have all remedies available for breach of contract.

You acknowledge that monetary damages may not be sufficient to compensate the Company for any economic loss which may be incurred by reason of your breach of the restrictive covenants set forth in Section 1 of this Part Five. Accordingly, in the event of any breach of those covenants, the Company shall be entitled to obtain, in addition to any remedies available at law, equitable relief in the form of an injunction precluding you from continuing such breach. In addition, any salary/target bonus continuation payments, Option acceleration, Health Care Coverage or outplacement services to which you become entitled under Part Two or Part Three of this letter agreement shall immediately cease should you fail to comply with any of the restrictive covenants set forth in Section 1 of this Part Five.
Effect of Non-Compliance. The failure of any Senior Creditor to perform any of its obligations under the 1995 Note Agreements, the 2002 Note Agreements, the 2006/2007 Note Agreements, the New Bank Agreement, or this Agreement, including without limitation, the failure of any Senior Creditor to pay to the Collateral Agent any amounts required to be so paid under this Agreement, shall not relieve any other Senior Creditor of its obligations under the 1995 Note Agreements, the 2002 Note Agreements, the 2006/2007 Note Agreements, the New Bank Agreement or this Agreement.

To the extent that the Customer is in breach of any provision of clauses 3 and 5, the Supplier reserves the right to suspend and/or terminate all Products and Services provided to the Customer until such time as the Customer remedies the non-compliance and if the Supplier incurs any expense in remedying the effects of any of the acts or omissions referred to above, the Customer shall reimburse the Supplier on demand in the amount necessary to cover such expense. In the event that the Customer fails to remedy its non-compliance after demand, the Supplier shall be entitled to terminate this Agreement and/or any relevant Order in accordance with clause 15.5.
