Earnout Procedure. 1. Within thirty (30) days after the end of each Earnout Period, Parent shall deliver to the Stockholder Representative a written statement (an “Earnout Statement”) setting forth its good faith calculations (with reasonable supporting detail) of (i) the aggregate amount of First Anniversary ARR or Second Anniversary ARR, as applicable, and (ii) based thereon, the resulting First Anniversary Payment Amount or Second Anniversary Payment Amount, as applicable. After the Stockholder Representative’s receipt of an Earnout Statement, the Stockholder Representative and its Representatives shall be provided reasonable access (on prior written notice and during business hours, in a manner that does not unreasonably interfere with Parent’s conduct of business) to the Chief Financial Officer of the Surviving Corporation as Stockholder Representative may reasonably request in connection with its review of such Earnout Statement, and be permitted to review Parent’s working papers and the working papers of Parent’s independent accountants, if any, relating to the preparation of the Earnout Statement and the calculation of the Earnout Payment Amount after (in connection with working papers relating to Parent’s independent accountants only) signing a customary confidentiality relating to such access to independent accountants’ working papers in form and substance reasonably acceptable to Parent’s independent accountants, as well as the relevant books and records of the Company, and Parent shall cause the Company and its Representatives to use commercially reasonable efforts to assist the Stockholder Representative and its Representatives in their reasonable review of the Earnout Statement.

Earnout Procedure. (a) From and after the Closing Date, Buyer shall deliver to the Sellers' Representative, for each interim fiscal quarter, for each fiscal year and for any period ending on a Payment Acceleration Date: (i) a statement (an "ACCOUNTING") setting forth the Revenues for such quarterly period of (x) Block Broker Dealers derived from Non-Broker Assisted Online Services and (y) Block Broker Dealers derived from Broker Assisted Online Accounts and SmartVest Earnout Amount for the applicable period, which shall set forth in reasonable detail the calculation of such Revenues and SmartVest Earnout Amount, which calculation shall be made in a manner consistent in all respects with the provisions of this Agreement, including the definition of terms and calculations provided in Schedule 2.8 hereto, and (ii) a letter from PriceWaterhouseCoopers LLP (or such other firm as may be acting as the independent accountants for Buyer) certifying as to the procedures and principles used to calculate such Revenues for such period. Commencing on the first anniversary of the Closing, Buyer shall also deliver to the Sellers' Representative a consolidated balance sheet of SmartVest, Inc. as of the close of each fiscal year and the related statements of income and cash flows of the Acquired Companies for such fiscal year, prepared in accordance with GAAP (an "ANNUAL FINANCIAL STATEMENT"). Each Accounting shall be provided by Buyer to Sellers' Representative within forty-five (45) days of the end of the applicable fiscal quarter within ninety (90) days of the end of the applicable fiscal year and within forty-five (45) days of any other event requiring Buyer to deliver an Accounting. Each Annual Financial Statement shall be provided by Buyer to Sellers' Representative within ninety (90) days of the end of the applicable fiscal year or such shorter period as Buyer may be required under the Exchange Act to file reports on Form 10-K (or any successor report) with the SEC).
Earnout Procedure. (i) On or prior to September 30, 2024, the Purchaser shall prepare, or cause to be prepared, a computation of (a) the Windows EBITDA for the Earnout Period and (b) the Earnout Payment, if any (the “Earnout Report”).

  • Claim Procedure Any Person entitled to indemnification hereunder shall (i) give prompt written notice to the indemnifying party of any claim with respect to which it seeks indemnification (provided that the failure to give prompt notice shall impair any Person’s right to indemnification hereunder only to the extent such failure has prejudiced the indemnifying party) and (ii) unless in such indemnified party’s reasonable judgment a conflict of interest between such indemnified and indemnifying parties may exist with respect to such claim, permit such indemnifying party to assume the defense of such claim with counsel reasonably satisfactory to the indemnified party. If such defense is assumed, the indemnifying party shall not be subject to any liability for any settlement made by the indemnified party without its consent (but such consent shall not be unreasonably withheld, conditioned or delayed). An indemnifying party who is not entitled to, or elects not to, assume the defense of a claim shall not be obligated to pay the fees and expenses of more than one counsel for all parties indemnified by such indemnifying party with respect to such claim, unless in the reasonable judgment of any indemnified party a conflict of interest may exist between such indemnified party and any other of such indemnified parties with respect to such claim. In such instance, the conflicted indemnified parties shall have a right to retain one separate counsel, chosen by the Holders representing a majority of the Registrable Securities included in the registration if such Holders are indemnified parties, at the expense of the indemnifying party.

  • Payment Procedure (a) The Lead Securitization Note Holder, in accordance with the priorities set forth in Section 3 and subject to the terms of the Lead Securitization Servicing Agreement, will deposit or cause to be deposited all payments allocable to the Notes to the Collection Account or Companion Distribution Account pursuant to and in accordance with the Lead Securitization Servicing Agreement. The Lead Securitization Note Holder (or the Master Servicer acting on its behalf) shall (i) deposit such amounts to the applicable account within two (2) Business Days after receipt of properly identified and available funds by the Lead Securitization Note Holder (or the Master Servicer acting on its behalf) from or on behalf of the Mortgage Loan Borrower and (ii) remit from the applicable account (A) prior to the Securitization Date, within two Business Days of receipt of properly identified funds (unless otherwise specified pursuant to an interim servicing agreement) and (B) on or after the Securitization Date, (1) with respect to the Lead Securitization Note, the remittance date under the Lead Securitization Servicing Agreement for the Lead Securitization Note and (2) with respect to the Non-Lead Securitization Note, (x) prior to the Non-Lead Securitization, the remittance date under the Lead Securitization Servicing Agreement for the Lead Securitization Note and (y) on or after the Non-Lead Securitization, the earlier of the remittance date under the Lead Securitization Servicing Agreement and the business day immediately succeeding the “determination date” set forth in the Non-Lead Securitization Servicing Agreement for the Non-Lead Securitization Note, all payments received and allocable pursuant to this Agreement and the Lead Securitization Servicing Agreement with respect to the Non-Lead Securitization Note (net of amounts payable or reimbursable from such account) by wire transfer to accounts maintained by the applicable Note Holder.

  • General Procedure (a) At each Closing, and effective as of each Closing Date, each party shall deliver to the party entitled to receipt thereof the documents required to be delivered pursuant to Article VII and such other documents, instruments and materials (or complete and accurate copies thereof, where appropriate) as may be reasonably required in order to effectuate the intent and provisions of this Agreement, including the applicable Appendix D, and all such documents, instruments and materials shall be satisfactory in form and substance to counsel for the receiving party.
