Directions to Trustee. The Trustee is hereby directed:
Directions to Trustee. Both prior to and after the occurrence of any Event of Default, the Trustee shall (subject to Sections 9 and 10 hereof) cooperate with Company, as Secured Party under the Pledge and Security Agreement, in its efforts to exercise and enforce its rights and remedies under the Pledge and Security Agreement in accordance with such instructions as the Trustee from time to time may receive from Company, so long as such instructions do not, in the good faith opinion of the Trustee, require it to engage in any action which would violate any applicable law, regulation, judgment, order or decree or expose it to liability for which it has not received indemnification from Company pursuant to Section 11 hereof.
Directions to Trustee. The Trustee reserves the right to disregard any direction which would conflict with any provision of the Plan or Trust. As soon as practicable after a Participant or Beneficiary becomes entitled to a distribution, the Committee shall give written notice to the Trustee, which notice shall include such of the following information and directions as are necessary or advisable under circumstances:

Directions to the Trustee shall be in writing and signed by the persons authorized to direct the Trustee, or shall be made by such other method as the parties shall agree, including directions given by photostatic teletransmission using facsimile signature. The Trustee is also authorized to act on verbal instructions in its discretion prior to receipt of written or photostatic teletransmission instructions. The Trustee is hereby authorized to record conversations and facsimile transmissions made in connection with the Trust. This Trust Agreement specifically anticipates and authorizes the Trustee to act on directions communicated to the Trustee via later-developed electronic and digital media as the parties shall agree.
Directions to Trustee. The powers conferred upon the Trustee in Sections 2.2, 2.3, 2.4, and 2.5 shall be exercised by the Trustee in its sole discretion, subject to the following:
Directions to Trustee. The Plan Administrator shall transmit the investment directions of the Participants exercising Limited Discretion to the Recordkeeper. The Recordkeeper shall instruct the Trustee to invest and reinvest assets held under the Trust by the Trustee based on such directions.
Directions to Trustee. With respect to the payments discussed in Section 8(a) and 8(b) above, the trustee of the Rabbi Trust shall be provided specific directions to pay, or not pay, the Executive, such payments in accordance with this paragraph.
Directions to Trustee. The Administrative Committee shall give appropriate and timely directions to the Trustee in order to permit the Trustee to give effect to the investment choice and investment change elections made under Section 5.5 and to provide funds for loans, distributions and withdrawals pursuant to Section 5.8 and Article VI.
Directions to Trustee. Except for the specific instances in which this Indenture expressly permits the Authority to give the Trustee directions orally which are promptly confirmed in writing, any directions given by the Authority to the Trustee must be in writing.
