DETAILS OF THE PROPOSALS. 2.1 Details of the Proposed Securities Subscription On 15 January 2014, Miasa entered into the Proposed Securities Subscription via the SWSA with SNMU and CStone to subscribe for 2,604 new ordinary shares of IDR1,000,000 each (“New Shares”), representing 9.43% equity interest of the enlarged paid-up capital of SNMU, at a consideration of USD2,000,000 or approximately RM6.52 million (based on the exchange rate of USD1.00:RM3.26 as at 13 January 2014). Upon completion of the Proposed Securities Subscription, SNMU will become a 9.43% associate company of Miasa. The New Shares will be subscribed free from all claims and other encumbrances and will have been validly authorized and issued and not subject to pre-emptive rights which have not been waived.

DETAILS OF THE PROPOSALS. MLSB is selling the Land to PKSB on an ‘as is where is’ basis. The Land is free from encumbrances save for an existing tenancy arrangement on part of the Land. PKSB shall enter into a new tenancy arrangement with the existing tenant within two (2) weeks from the completion date of the SPA. As MLSB is the master developer for Kiara Bay, to maintain the development concept of Kiara Bay and its future components, the parties have decided to enter into the DRA to ensure that the development of the Land is consistent with Kiara Bay’s master development plan. As stipulated under the DRA, PKSB will grant MLSB the exclusive and irrevocable right to develop the Land into a residential development and some supporting commercial units (“Project”). MLSB is also given the right to sell the completed properties. The consideration for the development rights is the Development Rights Value to be paid by MLSB to PKSB in the manner stipulated under the Proposed DRA. The Previous Land Sales were in line with UEM Sunrise’s strategy during Triage, the first stage of the Company’s three-pronged turnaround strategic plan – Triage (2022-2023), Stabilise (2024-2025), Sustain (2026 and beyond) – where Triage is focused on among others, strengthening the Company’s financial performance and expediting new product launches.   • Additional proposals If the Company at any time during the continuance of this Agreement desires to modify expand or otherwise vary its activities carried on pursuant to this Agreement beyond those specified in any approved proposal, it shall give notice of such desire to the Minister and within 2 months after giving such notice shall submit to the Minister detailed proposals in respect of such modifications expansions or variations and such other matters as the Minister may require. The provisions of clause 4 and 5 (including (for the avoidance of doubt) clause 5(9)) shall apply, the necessary changes being made, to proposals submitted pursuant to this clause.

  • Technical Proposals Technical proposal information will be streamlined, e.g., the Government anticipates written proposals consisting of thirty (30) pages or less stating compliance or exception to requirements, risks, assumptions and conflict of interest issues. Proposals shall not merely restate PWS/SOO requirements.   • Financial Proposal Tender Forms – prices By submitting this tender, the tenderer commits to performing this public contract in conformity with the provisions of the Tender Specifications/ – and explicitly declares accepting all conditions listed in the Tender Specifications and renounces any derogatory provisions such as his own general sales conditions. The unit prices and the global prices for each item in the inventory are established relative to the value of these items in relation to the total value of the tender. All general and financial costs as well as the profits are distributed between the various items in proportion to their weight. The value added tax is dealt with on a separate line in the summary bill of quantities or the inventory, to be added to the tender's value.   • Rejection of Proposals The County reserves the right to reject any and all proposals or to accept the proposal or any part thereof which it determines to best serve the needs of the County and to waive any informalities or irregularities in the proposals. While cost is a factor in any contract award, it is not the only factor and may not be the determining factor.

  • Bidding and Proposal Phase 1.5.1 In conjunction with the development of the Guaranteed Maximum Price and at other times as appropriate to the Project, the Architect/Engineer shall assist the Owner and Construction Manager by receiving and recording requests for Bid and Request for Proposal (“RFP”) Documents, receiving and resolving questions about Bid and RFP Documents; preparing addenda, issuing addenda, and accounting for addenda issued; attending pre-bid and pre-proposal conferences and HUB meetings; evaluating bids and proposals; and assisting in preparing and awarding multiple contracts for construction. Architect/Engineer shall answer inquiries from bidders and proposers at Owner’s request, and shall prepare and issue any necessary addenda to the bidding or proposal documents.

  • Cost Proposal After the Approved Working Drawings are approved by Landlord and Tenant, and the Contractor and subcontractors have been selected pursuant to Section 4.1 above, Landlord shall provide Tenant with a cost proposal in accordance with the Approved Working Drawings setting forth the reconciled bids and copies of all sub-bids, which cost proposal shall include, as nearly as possible, the cost of all Tenant Improvement Allowance Items to be incurred in connection with the construction of the Tenant Improvements (the "COST PROPOSAL"). The Cost Proposal shall reflect bids that will be priced by Contractor on an individual item-by-item or trade-by-trade basis. Landlord and Tenant shall work together in good faith in an attempt to agree upon a mutually acceptable Cost Proposal as soon as reasonably possible. Notwithstanding the foregoing, portions of the cost of the Tenant Improvements may be delivered to Tenant as such portions of the Tenant Improvements are priced by Contractor (on an individual item-by-item or trade-by-trade basis), even before the Approved Working Drawings are completed (the "PARTIAL COST PROPOSAL") for purposes of facilitating the early purchase of items and construction of the same. Tenant shall approve and deliver the Cost Proposal to Landlord within seven (7) business days of the receipt of the same, or, as to a Partial Cost Proposal within five (5) business days of receipt of the same, and upon receipt of the same by Landlord, Landlord shall be released by Tenant to purchase the items set forth in the Cost Proposal or Partial Cost Proposal, as the case may be, and to commence the construction relating to such items. If Tenant disapproves the Cost Proposal or Partial Cost Proposal, Tenant shall provide Landlord with a reasonably sufficient explanation, and in such event, Landlord and Tenant shall use good faith, diligent efforts to work with each other and Contractor to address Tenant's reasons for disapproving the Cost Proposal or Partial Cost Proposal, whichever is the case and a new Cost Proposal (or Partial Cost Proposal, as applicable) shall be prepared and the process described in this Section 4.2 shall be repeated. The date by which Tenant must approve and deliver the Cost Proposal or the last Partial Cost Proposal to Landlord, as the case may be, shall be known hereafter as the "COST PROPOSAL DELIVERY DATE". The total of all Partial Cost Proposals, if any, shall be known as the Cost Proposal.
