Delivery of ParentCo Common Shares. In furtherance of its obligations hereunder, upon notice of any event which requires the Corporation to cause to be delivered ParentCo Common Shares to any holder of Exchangeable Shares, ParentCo shall forthwith issue and deliver the requisite ParentCo Common Shares to or to the order of the former holder of the surrendered Exchangeable Shares, as the Corporation shall direct. All such ParentCo Common Shares shall be duly issued as fully paid and non-assessable and shall be free and clear of any lien, claim, encumbrance, security interest or adverse claim or interest.

Delivery of ParentCo Common Shares. EFFECT OF EXERCISE Promptly after the receipt of the certificates representing the LuxCo Exchangeable Preferred Shares which the Beneficiary desires ParentCo to purchase under the Exchange Right, together with such documents and instruments of transfer and a duly completed form of notice of exercise of the Exchange Right (and payment of taxes, if any, payable as contemplated by section 5.8 or evidence thereof), duly endorsed for transfer to ParentCo, the Trustee shall notify ParentCo and LuxCo of its receipt of the same, which notice to ParentCo and LuxCo shall constitute exercise of the Exchange Right by the Trustee on behalf of the holder of such LuxCo Exchangeable Preferred Shares, and ParentCo shall promptly thereafter deliver or cause to be delivered to the Trustee, for delivery to the Beneficiary of such LuxCo Exchangeable Preferred Shares (or to such other persons, if any, properly designated by such Beneficiary) the number of ParentCo Common Shares issuable in connection with the exercise of the Exchange Right, and on the applicable payment date cheques for the balance, if any, of the total purchase price therefor without interest (but less any amounts withheld pursuant to section 5.13); provided, however, that no such delivery shall be made unless and until the Beneficiary requesting the same shall have paid (or provided evidence satisfactory to the Trustee, LuxCo and ParentCo of the payment of) the taxes (if any) payable as contemplated by section 5.8 of this Agreement. Immediately upon the giving of notice by the Trustee to ParentCo and LuxCo of the exercise of the Exchange Right as provided in this section 5.6, the closing of the transaction of purchase and sale contemplated by the Exchange Right shall be deemed to have occurred and the holder of such LuxCo Exchangeable Preferred Shares shall be deemed to have transferred to ParentCo all of such holder's right, title and interest in and to such LuxCo Exchangeable Preferred Shares and the related interest in the Trust Estate and shall cease to be a holder of such LuxCo Exchangeable Preferred Shares and shall not be entitled to exercise any of the rights of a holder in respect thereof, other than the right to receive his proportionate part of the total purchase price therefor, uriless the requisite number of ParentCo Common Shares is not allotted, issued and delivered by ParentCo to the Trustee within five business days of the date of the giving of such notice by the Trustee or the balance of the...
Delivery of ParentCo Common Shares. (1) ParentCo and the Company hereby agree that, upon a liquidation of the Company (unless after receipt of the notice from Company described in Section 2.3 hereof, ParentCo serves a ParentCo Notice (as defined in the Put and Call Option Agreement of even date between the parties hereto), the Company shall purchase and ParentCo shall issue the Equivalent Number of ParentCo Common Shares (as defined in the Exchangeable Share Provisions) at an issue price of United States Dollars ("USD") one thousand (1,000.00) per ParentCo Common Share and ParentCo agrees that the Company may setoff the subscription price payable by ParentCo to the Company pursuant to Section 2.8 hereof against the subscription price payable by the Company pursuant to this Section 2.4; and

  • Delivery of Common Stock Subject to the terms of the Plan and Section 6 below, if the RSUs awarded by this Agreement become vested, the Company shall promptly distribute to Employee the number of shares of Common Stock equal to the number of the RSUs that so vested; provided that to the extent required by Code Section 409A, delivery of shares of Common Stock upon a Participant’s “separation from service” within the meaning of Code Section 409A shall be deferred until the six month anniversary of such separation from service. In connection with the delivery of the shares of Common Stock pursuant to this Agreement, the Participant agrees to execute any documents reasonably requested by the Company and provide therein customary representations and warranties related to the receipt of such shares of Common Stock.

  • Delivery of the Common Shares The Company shall deliver, or cause to be delivered, to the Representatives for the accounts of the several Underwriters certificates for the Firm Common Shares at the First Closing Date, against the irrevocable release of a wire transfer of immediately available funds for the amount of the purchase price therefor.   • Delivery of Common Stock Upon Conversion Upon receipt by the Borrower from the Holder of a facsimile transmission or e-mail (or other reasonable means of communication) of a Notice of Conversion meeting the requirements for conversion as provided in this Section 1.4, the Borrower shall issue and deliver or cause to be issued and delivered to or upon the order of the Holder certificates for the Common Stock issuable upon such conversion within three (3) business days after such receipt (the “Deadline”) (and, solely in the case of conversion of the entire unpaid principal amount hereof, surrender of this Note) in accordance with the terms hereof and the Purchase Agreement.

No interest will be paid or accrued for the benefit of holders of the Certificates or Book-Entry Shares on the Merger Consideration payable upon the surrender of the Certificates or Book-Entry Shares.

  • Delivery of Stock Certificates, etc. on Exercise The Company agrees that the shares of Common Stock purchased upon exercise of this Warrant shall be deemed to be issued to the Holder as the record owner of such shares as of the close of business on the date on which this Warrant shall have been surrendered and payment made for such shares in accordance herewith.
