Delegation by Sponsor to CRO. Sponsor has contracted with CRO, a clinical research organization, to provide support services to facilitate Sponsor’s oversight, monitoring Hlavní zkoušející nesmí provádět žádný výzkum, který není vyžadován Protokolem pro provádění Klinického hodnocení v Zdravotnickém zařízení nebo jeho prostřednictvím (i) na Pacientech v průběhu Klinického hodnocení (včetně všech dodatečných výzkumných technik, postupů, dotazníků nebo pozorování) nebo (ii) na biologických vzorcích odebraných z Pacientů v průběhu Klinického hodnocení nebo datech z nich odvozených v případě, že Klinické hodnocení zahrnuje Hodnocený produkt a výzkum se týká Hodnoceného produktu nebo jeho farmaceuticky přijatelných solí, enantiomerů a polymorfů. Dále se výzkum popsaný v předchozí větě označuje jako „Další výzkum“. V každém případě, pokud Zadavatel dá souhlas, bude se schválený Další výzkum považovat za změnu původního Protokolu nebo musí být předmětem jiné smlouvy a Zdravotnické zařízení a Hlavní zkoušející provedou všechen tento Další výzkum v souladu s platnými předpisy, včetně požadavků na získání vhodného ES schválení typu a na informovaný souhlas Pacienta. Dále, pokud je takový Další výzkum prováděn bez ohledu na výše uvedená omezení, aniž by byla omezena jakákoli jiná práva, Zdravotnické zařízení uděluje Zadavateli neodvolatelnou, celosvětovou, splacenou a bezplatnou výhradní licenci s právem udělovat dílčí licence k budoucímu či předchozímu použití, prodeji a importu jakéhokoli vynálezu, který vyplývá z tohoto dalšího výzkumu. Sponsor has authorized the CRO to handle Sponsor communications with the Institution and zajišťovala komunikaci Zadavatele se Zdravotnickým zařízením a Hlavním řešitelem v souvislosti s touto Studií a touto Smlouvou. Na základě písemného oznámení Zdravotnickému zařízení a Hlavnímu řešiteli může Zadavatel určit další organizace, aby nahradily Smluvní výzkumnou organizaci nebo s ní spolupracovaly při poskytování služeb Zadavateli, a Zdravotnické zařízení a Hlavní řešitel dovolí této Smluvní výzkumné organizaci provádět tyto delegované úkoly jménem Zadavatele. Upon written notice to Institution and Principal Investigator, Sponsor may designate other such organizations to replace or work with CRO in the performance of such services for Sponsor, and Institution and Principal Investigator will permit such CRO to perform such delegated tasks on behalf of Sponsor.

  • Termination by Red Hat or Partner Red Hat may (without prejudice to any other right or remedy) terminate this Agreement in whole or in part (including any Program Appendix and Partner’s participation in any Program) for any reason at any time upon ninety (90) days prior written notice to Partner. If Partner or Red Hat breaches the terms of this Agreement, and the breach is not cured within thirty (30) days after written notice of the breach is given to the breaching Party (except for payment obligations, in which case five (5) days), then the other Party may, by giving written notice of termination to the breaching Party, terminate this Agreement in whole or in part (including any Program Appendix and Partner’s participation in any Program) without prejudice to any other right or remedy; unless a shorter cure period is otherwise stated under this Agreement or in the applicable Program Appendix and provided that no cure period is required for a breach of Sections 8, 9.1, 12.2 or 14.3 hereof.

  • Termination for Non-Appropriation by DIR DIR may terminate Contract if funds sufficient to pay its obligations under the Contract are not appropriated: by the i) Texas legislature or ii) by budget execution authority provisioned to the Governor or the Legislative Budget Board as provided in Chapter 317, Texas Government Code. In the event of non-appropriation, Vendor and/or Order Fulfiller will be provided thirty (30) calendar days written notice of intent to terminate.
