Defective Pricing Sample Clauses

Defective Pricing. The Consultant and subcontractor, where appropriate, warrant that cost and pricing data submitted for evaluation with respect to negotiated agreements, lower tier subagreements, and change orders is based on current, accurate, and complete data supported by their books and records. If the District determines that any price (including profit) negotiated in connection with this Agreement, any lower tier subagreement or any amendment thereunder was increased by any significant sums because the data provided was incomplete, inaccurate, or not current at the time of submission, then such price or cost or profit shall be reduced accordingly; and the Agreement shall be modified in writing to reflect such action.

Defective Pricing. Obligations: There are procedures to assure that reported obligations are supported by purchase orders, contracts, etc. These procedures require that obligations are periodically reviewed with regard to their validity. These procedures require the timely liquidations of obligations.

Seller agrees that it will provide to Buyer the lowest possible price for the items listed on Buyer’s PO, and should a customer other than Buyer receive pricing lower than the prices stated above for similar products/quantities, Seller shall provide to Buyer equivalent pricing.

Defective Pricing. If the Government Contracting Officer or Buyer determines that any price, including the profit or fee thereon, established in connection with this contract was increased by any significant sum because Seller or any of its subcontractors or suppliers at any tier furnished incomplete or inaccurate cost or pricing data, or data not current as certified, or refuses to furnish cost or pricing data when required, the contract price hereunder shall be reduced accordingly and the contract modified in writing to reflect such adjustment. Seller shall insert the substance of this clause in all subcontracts hereunder so as to give Buyer the right, in its sole discretion, to proceed directly against any such sub- contractor. Failure to agree on a price reduction shall be subject to the Disputes clause of this contract. Buyer and the Government shall also have all other rights set forth in FAR 52.215-10 and 11.
Defective Pricing. In the event the price negotiated in connection with any prime contract was increased by any significant amount because Seller's cost or pricing data was not current, accurate and complete on the date certified in the Seller's Certificate of Current Cost or Pricing Data, and Seller is obligated to refund money on the prime contract, the price or cost of the relevant subcontract shall be adjusted to reflect the reduction of Seller's costs, but in no event shall any reduction Include cost, fees or any markups of Buyer.
