Aggregate Capital Expenditures definition

Aggregate Capital Expenditures means the aggregate amount of capital expenditures of Borrower, UK Borrower and Irish Borrower.
Aggregate Capital Expenditures means, for any period, determined on a Consolidated basis, the sum of (i) Borrower's aggregate Capital Expenditures, other than Crop Development Costs, for such period, plus (ii) Net Crop Development Costs for such period.
Aggregate Capital Expenditures means, collectively, the Growth Capital Expenditures and the Maintenance Capital Expenditures. “Agreement” has the meaning set forth in the Preamble of this Agreement.

  • If Seller and Buyer are not able to mutually agree on a determination of the Aggregate Capital Expenditures Amount within the period specified above, Buyer and Seller shall jointly retain an Accounting Referee to resolve the dispute in accordance with the procedures set forth in Section 2.11.

Aggregate Capital Expenditures means an amount (expressed in Dollars) equal to (i) $160,000, which represents Seller’s good faith estimate, as of the date of this Agreement, of the aggregate amount of all capital expenditures paid by or on behalf of the Company during the period from April 1, 2013 through the date of this Agreement to the extent such payments are in respect of capital expenditures incurred by or on behalf of the Company during such period, which are set forth on Schedule 3.14 (“Pre-Signing Capital Expenditures”) plus (ii) the aggregate amount of capital expenditures paid by or on behalf of the Company from the day after the date of this Agreement through the Closing Date to the extent such amounts are (a) incurred in accordance with Schedule 3.14 during such period, (b) paid in connection with an emergency related to the Assets that occurs between the date of this Agreement and the Closing Date or (c) otherwise consented to in writing by Buyer (such capital expenditures that are described in clause (ii) being herein referred to as the “Permitted Interim Capital Expenditures”).
Aggregate Capital Expenditures. In aggregate, the amount of capital expenditures that the Companies, collectively, have actually paid between the period commencing on October 1, 2023 and ending as of the Measurement Time that are directly allocable to capital project or capital equipment line items set forth in the Capital Expenditure Budget (even if in excess of the budgeted line item(s) therefor). Notwithstanding anything in this Agreement (including the Capital Expenditure Budget itself) to the contrary, “capital expenditures” as used in this Agreement and in the definition of “Aggregate Capital Expenditures” shall not include any expenses if such expenses are unable to be properly capitalized in accordance with GAAP.

  • Net Capital Expenditures means for any period the amount by which Capital Expenditures during such period exceeds reimbursements for such items during such period from any fund established pursuant to the Loan Documents.

  • Expansion Capital Expenditures means cash expenditures for Acquisitions or Capital Improvements. Expansion Capital Expenditures shall include interest (including periodic net payments under related interest rate swap agreements) and related fees paid during the Construction Period on Construction Debt. Where cash expenditures are made in part for Expansion Capital Expenditures and in part for other purposes, the General Partner shall determine the allocation between the amounts paid for each.

  • Maintenance Capital Expenditures means cash expenditures (including expenditures for the addition or improvement to the capital assets owned by any Group Member or for the acquisition of existing, or the construction of new, capital assets) if such expenditures are made to maintain, including over the long term, the operating capacity or revenues of the Partnership Group.

  • Approved Capital Expenditures means Capital Expenditures incurred by Borrower and either (i) included in the Approved Annual Budget or (ii) approved by Lender, which approval shall not be unreasonably withheld or delayed.
