CORRUPT GIFTS OR PAYMENTS. The Contractor shall not do (and shall use its best endeavours to ensure that in entering the Agreement they have not done) any of the following: (referred to in this Condition as “Prohibited Acts”) offer, give or agree to give any person in the employment of the Institute any gift or consideration as an inducement or reward for doing or refraining from doing any act in relation to the obtaining or performance of this or any other contract with the Institute or for showing or refraining from showing favour or disfavour to any person in relation to this or any other agreement with the Institute; nor enter into this or any other contract with the Institute if any commission has been paid or agreed to be paid to any person in the employment of the Institute by or on behalf of the Contractor or to their knowledge, unless particulars of such commission and the terms of any agreement for the payment of it have been disclosed to the Institute in writing before the Agreement is made. If the Contractor or any of its employees, agents or sub-contractors, or any person acting on their behalf, does any of the Prohibited Acts or commits any offence under the Prevention of Corruption Acts 1889 to 1916, with or without the knowledge of the Contractor in relation to this or any other agreement with the Crown, the Institute shall be entitled: to terminate the Agreement and recover from the Contractor the amount of any loss resulting from the termination to recover from the Contractor the amount or value of any such gift, consideration or commission; and to recover from the Contractor any other loss sustained in consequence of any breach of this Condition, whether or not the Agreement has been terminated. In exercising its rights of remedies under Condition 31, the Institute shall: act proportionately in the light of the gravity and circumstances of the particular breach; and give all due consideration, where appropriate, to action other than termination of the Agreement Dispute Resolution Any dispute arising out of the interpretation or performance of this Agreement shall be referred to the Parties’ Representatives for resolution in the first instance. If any dispute cannot be resolved by the Parties’ Representatives within a reasonable time then the dispute shall be referred for arbitration under the provisions of the Arbitration Acts by a single arbitrator to be appointed by agreement between the Parties or in default of such agreement by the chairman for the time being ...
