Continuation of Employment Agreement. Except as expressly modified or amended hereby, all of the terms and conditions of the Employment Agreement shall continue and remain in full force and effect.

Except as otherwise expressly provided herein, all of the terms and provisions of the Employment Agreement shall remain in full force and effect and this Employment Amendment shall not amend or modify any other rights, powers, duties, or obligations of any party to the Employment Agreement.

The Company further agrees that it will not provide a notice of non-renewal to Executive pursuant to Section 3 of the Employment Agreement to terminate such agreement at the end of its “initial term” within the meaning of Section 3 therein.

To the extent there is any conflict between the terms of Sections 26 through 30 herein and the remainder of the Agreement, the terms of Sections 26 through 30 shall govern.

Except as otherwise ------------------------------------ modified by this Waiver, IFCO Systems agrees to cause the Employer, as a direct or indirect wholly owned subsidiary of IFCO Systems after consummation of the transactions contemplated in the Merger Agreement, to otherwise continue the Employment Agreement in full force and effect pursuant to the terms thereof.
Continuation of Employment Agreement. The Executive acknowledges and agrees that the provisions of the Agreement supercede and replace the provisions related to payment of severance benefits under that certain employment agreement by and among the Company, Citizens Trust Bank and the Executive dated as of January 30, 1998 (the “Employment Agreement”) in the event of a termination of the Executive’s employment following a Change in Control. Any Severance Benefit payable under this Agreement is payable in lieu of any severance benefits that would otherwise have been payable under the Employment Agreement.
