Construction of Agreements. Notwithstanding any other provisions in this Agreement to the contrary, in the event and to the extent that there shall be a conflict between the provisions of this Agreement and the provisions of any Ancillary Agreement entered into by Seller and Purchaser pursuant to this Agreement, the provisions of this Agreement shall control (unless the Ancillary Agreement explicitly provides otherwise).

Construction of Agreements. Notwithstanding any other provisions in this Agreement to the contrary, in the event and to the extent there shall be a conflict between the provisions of this Agreement and the Related Agreements (or any Conveyancing and Assumption Instrument or other instrument of assumption entered into pursuant to this Agreement) and (a) the provisions of the Merger Agreement, then (i) prior to the Effective Time, the provisions of the Merger Agreement shall control and (ii) subsequent to the Effective Time, the provisions of this Agreement and the Related Agreements (or any Conveyancing and Assumption Instrument or other instrument of assumption entered into pursuant to this Agreement) shall control and (b) the provisions of any other agreement entered into by SFX or Entertainment, then the provisions of this Agreement and the Related Agreements (and any Conveyancing and Assumption Instrument or other instrument of assumption entered into pursuant to this Agreement) shall control. In the event and to the extent there shall be a conflict between the provisions of this Agreement and the provisions of the Related Agreements, then the provisions of the Related Agreements shall control.
Construction of Agreements. References to an agreement or any other document include that agreement or document as from time to time supplemented, varied or amended.

Notwithstanding any other provision in this Agreement to the contrary, in the event and to the extent that there shall be a conflict between the provisions of this Agreement and the provisions of any Related Agreement or any other agreement entered into by DuPont or the Retained Subsidiaries, on one hand, and Conoco or the Transferred Business Companies on the other hand, pursuant to this Agreement or the Related Agreements, the provisions of this Agreement shall control except for conflicts between the provisions of this Agreement and any Principal Related Agreement, in which case the provisions of such Principal Related Agreement shall control; provided, however, notwithstanding the foregoing, in the case of a conflict between the provisions of this 34 41 Agreement and the provisions of one of the several Transitional Services Agreements, the provisions of the particular Transitional Services Agreement shall control only to the extent that (x) the provision in question is contained in the form of Transitional Services Agreement attached hereto as Exhibit F or (y) is approved by the General Counsel or an Associate General Counsel of both DuPont and Conoco.
Construction of Agreements. All other terms of the Employment Agreement, to the extent they do not conflict with and are not inconsistent with, this Agreement, continue to govern the terms and conditions of Employee’s employment during the Transition Period; provided that in case of any conflict or inconsistency between this Agreement and the Employment Agreement, this Agreement shall in each case govern, control and apply.
