Related Agreement. (a) If required by Broker, the Company shall enter into a Placement Agency Agreement with Broker that is substantially consistent with Broker’s standard form, modified as appropriate to reflect the terms of the applicable Transaction and containing such terms, covenants, conditions, representations, warranties, and providing for the delivery of legal opinions, comfort letters and officer’s certificates, all in form and substance satisfactory to Broker and its counsel.
Related Agreement. This Letter Agreement shall constitute a Related Agreement.
Related Agreement. The School Council may terminate this Licence where an agreement between the parties regarding the provision of services from the Licensed Area by the Licensee ends for any reason (whether by agreement, breach, expiry or otherwise), provided that, in respect of expiry of such agreement, the School Council may not terminate this Licence for a period of 3 months from the date of expiry of the agreement referred to if negotiations are then underway for the renewal of the agreement.
Related Agreement. The Executive hereby reaffirms, confirms and approves each Related Agreement as a binding obligation of the Executive, enforceable in accordance with its terms. The Executive acknowledges and agrees that any Base Salary and/or Performance Bonus paid to the Executive pursuant to this Agreement shall serve as additional consideration for the Executive’s obligations under each Related Agreement.
Related Agreement. By your written acceptance of this Agreement, you represent, warrant and agree that you understand that this Agreement is a Rule 12b-1 related agreement under the 1940 Act, subject to the provisions of such Rule, as well as any other applicable rules or regulations of the SEC, and agree to conform to the applicable compliance standards adopted by us for sale of WEBS, as in effect from time to time.
Related Agreement. The Executive is executing on the date hereof a Confidentiality, Inventions and Non-Interference Agreement (as may be amended from time to time, the “Related Agreement”). It shall be a condition precedent to the Executive’s effective employment under this Agreement that the Executive shall have executed and delivered to the Company the Related Agreement. Executive hereby covenants and agrees to abide by the terms of the Related Agreement at all times.
Related Agreement. This Agreement, including the Purchase Agreement and Related Agreements, appendices, schedules and exhibits thereto, are intended to be construed as parts of a group of related transactions and shall be construed accordingly.
Related Agreement. The Parties acknowledge and agree that (i) Recro Gainesville and APIL are parties to a certain Asset Transfer and License Agreement, dated as of April 10, 2015, as amended (the “Related Agreement”), pursuant to which Recro Gainesville is obligated to pay APIL the Earn-Out Consideration set forth in Exhibit E to the Agreement, as amended by this Amendment, which payment obligation is replicated in Exhibit D to the Related Agreement, (ii) on or about the Amendment Effective Date, Recro Gainesville and APIL shall amend Exhibit D to the Related Agreement such that the amendments to the Earn-Out Consideration set forth in this Amendment are mirrored in Exhibit D to the Related Agreement and (iii) the Earn-Out Consideration (set forth in Exhibit E to the Agreement, as amended by this Amendment, and Exhibit D to the Related Agreement, as amended) is to be paid by the Purchasers to APIL only once.
Related Agreement. This Warrant is the Warrant referred to in the Contract of Sale and Security Agreement dated effective January 22, 2004 between Xxxxxxxxxxx Xxxxxxx, Inc. and the Holder and shall entitle the Holder to all of the rights granted to holders of the Warrants thereunder. Related Agreement. At the Closing, Company and Investor will execute and deliver a Registration Rights Agreement in the form attached hereto as EXHIBIT A.
