CONFIDENTIALITY AND NONDISCLOSURE AGREEMENTS. All information which shall have been furnished or disclosed by one Party to the other pursuant to this Agreement, including without limitation, business, financial and customer development plans, forecasts, strategies and information, shall be held in confidence pursuant hereto and shall not be disclosed to any person other than their respective employees, directors, legal counsel, accountants or financial advisors, with a need to have access to such information, and shall not make any use whatsoever of such information except to evaluate such information internally. The confidentiality provisions set forth herein shall survive until two years from the date hereof, unless the Party desiring to disclose the information can document that (i) such information is (through no improper action or inaction by such Party or any affiliate, agent, consultant or employee) generally available to the public, or (ii) was in its possession or known by it prior to receipt from the other Party, or (iii) was rightfully disclosed to it by a third party, or (iv) was independently developed by employees of such Party who have had no access to such information.
CONFIDENTIALITY AND NONDISCLOSURE AGREEMENTS. Each employee of the Company and each consultant to the Company, as of the date of the Closing, shall have executed and delivered to the Company a Nondisclosure and Inventions Agreement in the form previously supplied by ADAC to the Company.

CONFIDENTIALITY AND NONDISCLOSURE AGREEMENTS. Each employee of -------------------------------------------- DocuMagix, and each consultant to DocuMagix, shall have executed and delivered to DocuMagix a confidentiality and nondisclosure agreement in a form reasonably satisfactory to JetFax.
CONFIDENTIALITY AND NONDISCLOSURE AGREEMENTS. Each employee of the Companies who will become an employee of ADAC following the Acquisition shall have executed and delivered to ADAC ADAC's standard form of Nondisclosure and Inventions Agreement.
CONFIDENTIALITY AND NONDISCLOSURE AGREEMENTS. Each employee and officer of the Company has executed a Confidentiality and Nondisclosure Agreement substantially in the form or forms which have been delivered to counsel for the Purchaser.

Except for the Designated Shareholders executing Employment Agreements, each employee of the Company, and each consultant to the Company, shall have executed and delivered to the Company a Nondisclosure and Inventions Agreement in the form previously supplied to the Company.

Each employee of the Company, and each consultant to the Company, shall have executed and delivered to the Company a proprietary information and inventions agreement in a form reasonably satisfactory to the Purchaser relating to the intellectual property of the Company.
CONFIDENTIALITY AND NONDISCLOSURE AGREEMENTS. 26 AGREEMENT AND PLAN OF REORGANIZATION THIS AGREEMENT AND PLAN OF REORGANIZATION, is dated as of February 23, 2000, by and among PC-TEL, Inc., a Delaware corporation ("PC-TEL"), V T Acquisition Corp., a Delaware corporation and a wholly-owned subsidiary of PC- TEL ("Sub"), Voyager Technologies, Inc., a California corporation ("Voyager") and the shareholders of Voyager listed on the signature pages hereto (collectively, the "Shareholders"). INTENDING TO BE LEGALLY BOUND, and in consideration of the premises and mutual covenants and agreements contained herein, PC-TEL, Sub, Voyager and the Shareholders hereby agree as follows:
CONFIDENTIALITY AND NONDISCLOSURE AGREEMENTS. While this Agreement is in effect, and before and after a Change in Control, the Executive shall be subject to and abide by the terms of any confidentiality or nondisclosure agreement between the Executive and Company or any of its subsidiaries.
