Compliance With Governmental Requirements and Operating Rules. (a) Xxxxxx Beaumont shall comply in all material respects with all Governmental Requirements and the Operating Rules which are applicable to Xxxxxx Xxxxxxxx’x provision of the Xxxxxx Beaumont Services and Xxxxxx Xxxxxxxx’x other responsibilities under this Agreement, including without limitation securing any licenses, permits, registrations or other authorizations from such governmental authorities as Xxxxxx Beaumont may need in order to provide the Xxxxxx Beaumont Services and carry out Xxxxxx Xxxxxxxx’x other responsibilities under this Agreement. Client shall comply in all material respects with all Governmental Requirements and the Operating Rules which are applicable to Client’s business and Client’s other responsibilities under this Agreement, including without limitation securing any licenses, permits, registrations or other authorizations from such governmental authorities as Client may need in order to issue Transaction Cards to Cardholders and to carry out Client’s other responsibilities under this Agreement.

  • Compliance with Governmental Requirements Grantor shall comply promptly with all laws, ordinances, rules and regulations of all governmental authorities, now or hereafter in effect, applicable to the ownership, production, disposition, or use of the Collateral. Grantor may contest in good faith any such law, ordinance or regulation and withhold compliance during any proceeding, including appropriate appeals, so long as Lender's interest in the Collateral, in Lender's opinion, is not jeopardized.
