Commissions and Advisory Fees. The parties hereto hereby acknowledge and agree that, in connection with the leasing of the Premises hereunder, Tenant has used the services of an advisor. For services performed by its advisor, Landlord shall pay to Tenant an advisory fee (“Advisory Fee”) in connection with this Lease in the amount of Five Hundred Thousand and 00/100 Dollars ($500,000.00). At Tenant’s election, Tenant may direct Landlord to remit the Advisory Fee directly to its advisor. Fifty-percent (50%) of this fee shall be paid to Tenant or Tenant’s designee upon signing or execution of this Lease. The remaining fifty percent (50%) shall be paid to Tenant or Tenant’s designee upon the later of i) July 1, 2014, Tenant’s scheduled initial rent payment pursuant to Article 4.1 A for the portion of the Expansion Premises consisting of the 3rd Floor of the Factory Building, and ii) Tenant’s payment of the first month’s rent due under this Lease for the Premises including the portion of the Expansion Premises consisting of the 3rd Floor of the Factory Building. Any and all commissions due to any brokers shall be paid in accordance with the terms and conditions set forth in a separate written agreement or agreements between the Landlord and such broker. Subject to the foregoing, each party hereto hereby represents and warrants to the other that, in connection with such leasing, the party so representing and warranting has not dealt with any real estate broker, agent or finder, and there is no commission, charge or other compensation due on account thereof. Each party hereto shall indemnify and hold harmless the other against and from any inaccuracy in such party’s representation.
