Certain Business Relationships With Seller. Except as set forth on Disclosure Schedule 3.23, none of the shareholders of Seller or any of their Affiliates has been a party to any business arrangement or relationship with Seller within the past 12 months, and none of the shareholders of Seller or any of their Affiliates owns any asset, tangible or intangible, that is used in the Business.
Certain Business Relationships With Seller. None of the Shareholders or Seller's Affiliates have been involved in any material business arrangement or relationship with Seller within the past 12 months other than as an employee. No Shareholder, Affiliate, officer, director, leased employee, Employee, agent, consultant, or representative of Seller owns any asset, tangible or intangible, that is used in the Business.
Certain Business Relationships With Seller. To Seller's knowledge, neither any shareholder of Seller nor any director or officer of Seller, nor any member of their immediate families, nor any Affiliate of any of the foregoing, owns, directly or indirectly, or has an ownership interest (excluding any direct or indirect ownership by a shareholder at Seller of up to 1% of the outstanding capital stock of a publicly traded entity) in (a) any business (corporate or otherwise) which is a party to, or in any property which is the subject of, any business arrangement or relationship of any kind with Seller in relation to the Business, or (b) any business (corporate or otherwise) which conducts the same business as, or a business similar to, the Business.
Certain Business Relationships With Seller. Except as set forth on Schedule 4.20, neither Chartwell nor any of its Affiliates, directors, officers, employees, and shareholders, nor Seller’s directors, officers, employees, and shareholders has been involved in any material business arrangement or relationship with Seller within the past twelve (12) months, and neither Chartwell nor any of its Affiliates, directors, officers, employees, and shareholders, nor Seller’s directors, officers, employees, and shareholders own any material asset, tangible or intangible, that is used in the Business.

To Seller's Knowledge, except as set forth on Section 3.24 to the Disclosure Schedule, no Affiliate or officer, director or employee of the Seller has been involved in any material business arrangement or relationship with the Business within the past twelve months, and no such Affiliate, officer, director or employee owns any material asset, tangible or intangible, which is used in the Business.

To Seller's Knowledge, no Affiliate or officer, director or employee of the Seller has been involved in any material business arrangement or relationship with the Seller within the past twelve months, and no such Affiliate, officer, director or employee owns any material asset, tangible or intangible, which is used in the Business. 3.25
Certain Business Relationships With Seller. Except as disclosed in Section 2.25 of the Disclosure Schedule, none of Seller or its Affiliates has been involved in any material transaction, business arrangement or relationship (other than employment) with either the Company or any Subsidiary since January 1, 2002, and neither Seller nor its Affiliates owns an interest in any Asset which is used in the business of, or is a party to any Contract with or has any dispute with the Company or any Subsidiary; provided, however, that, for greater clarity, the return of products, adjustments of payments (except for disputes over quality of products) and other transactions pursuant to Contracts disclosed on the Disclosure Schedule shall not be deemed to be "disputes" for purposes of this Section 2.25. Section 2.25(g) of the Disclosure Schedule contains a true, correct and complete list of all purchase orders issued to Nutraco by the Company or any Subsidiary as of the date hereof, which list shall be updated as of the Closing Date and delivered to Purchaser at Closing.

Other than with respect to The Canopy Group, Inc. and Angel Partners, none of the shareholders, directors and officers of Seller and their Affiliates have been involved in any business arrangement or relationship with Seller relating to the Business within the past 12 months, and none of the shareholders, directors and officers of Seller and their Affiliates own any asset, tangible or intangible, that is used in the Business. Information with respect to the business arrangements and relations between Seller and The Canopy Group, Inc. and/or Angel Partners is set forth in Section 4.24 to the Seller Disclosure Schedule.
Certain Business Relationships With Seller. Except as disclosed on Schedule 3(aa), neither Parent nor any of its -------------- Affiliates (other than Seller) has been involved in any material business arrangement or relationship with Seller within the past twelve months nor owns any material asset, tangible or intangible, which is used by Seller in the Business.

None of Parent or its Affiliates, or any of Seller’s directors, officers, employees, or shareholders owns any asset, tangible or intangible, that is used in the Business except for the Intellectual Property covered by the Software License Agreement and the Trademark License Agreement and books and records related to Taxes.
