The "By SRI" clause designates that certain actions, rights, or obligations within the agreement are to be performed or exercised specifically by SRI, which is likely a party or entity named elsewhere in the contract. By SRI. SRI shall maintain comprehensive general ------ liability insurance, including contractual liability insurance, against claims for bodily injury or property damage arising from its activities contemplated by the Agreement, with such insurance companies and in such amounts as SRI customarily maintains for similar activities. SRI shall maintain such insurance during the Development Period and thereafter for so long as SRI maintains insurance for itself covering such activities.
By SRI. SRI agrees to indemnify Broncus and hold Broncus harmless against any and all liabilities, demands, damages, expenses or losses arising from (i) SRI’s activities in developing the Products or Procedures; and (ii) breach of any warranty or representation made herein by SRI or ▇▇. ▇▇▇▇▇▇. SRI agrees to also indemnify Broncus and hold Broncus harmless from and against all claims, damages, losses and expenses, including reasonable fees and expenses of attorneys and other professionals, relating to any obligation imposed by law on Broncus to pay any withholding taxes, social security, unemployment or disability insurance, or similar items in connection with compensation received by SRI pursuant to this Agreement.
By SRI. SRI may not sell, transfer, assign or otherwise convey any of its rights or obligations under this Agreement to any other person without the express prior written consent of Arbitron. Any such assignment without such consent shall be null and void.
