Buyers Commitments. Pursuant to the terms and conditions of this ------------------- Agreement, in order to satisfy the fuel requirements of the Facility, Buyer commits: (a) to contract for a year-round supply of Natural Gas equal to the Contract Quantity, plus Shrinkage, which supply will be firm for the months of December through March, and to utilize the firm transportation capacity arranged by Seller on Transporter(s)' systems; (b) to contract for such firm Gas supply by June 1 preceding each December through March period and to promptly furnish copies of such contracts to Seller; (c) to purchase Natural Gas from Seller pursuant to the Resale Service and Testing Service described in Article 3 hereof; (d) to act with due diligence and use reasonable efforts to obtain all necessary permits and regulatory approvals required to utilize the services provided herein and to cooperate with Seller in seeking such approvals and permits.

Buyers Commitments. Pursuant to the terms and conditions of this ------------------- Agreement, in order to satisfy the fuel requirements of the Facility, Buyer commits: (a) to contract for a year-round supply of Natural Gas of eighty-five thousand (85,000) Dekatherms per Day, plus Shrinkage, which supply will be firm for the months of December through March, and to utilize the firm transportation capacity arranged by Sellers on Transporter(s)' systems; (b) to contract for such firm Gas supply by June 1 preceding each December through March period and to promptly furnish copies of such contracts to Sellers; (c) to purchase Natural Gas from Sellers pursuant to the Resale Service and Sales Service described in Article 3 hereof; (d) to acquire from Exxon's Linden Plant, and to dedicate to Sellers, one hundred thousand (100,000) barrels of butane storage capacity for exclusive use by Sellers during each November 15 through March period and to purchase an initial fill of one hundred thousand (100,000) barrels of butane by November 15 of each year as provided in paragraph 3.4, and two (2) refills each equal to one hundred thousand (100,000) barrels of butane, for use by Sellers during each November 15 through March period; and (e) to act with due diligence and use reasonable efforts to obtain all necessary permits and regulatory approvals required to utilize the services provided herein and to cooperate with Sellers in seeking such approvals and permits.

Buyers Commitments. Schedule BC to the Repurchase Agreement is amended and restated in its entirety as set forth on Schedule BC to this Amendment.

Buyers Commitments. 12.1 Buyer will comply with all applicable laws, regulations, and ordinances of any governmental authority in any country having proper jurisdiction, including, without limitation, those laws of the United States or other countries that regulate the import or export of the goods provided by Supplier and shall obtain all necessary import/export licenses in connection with any subsequent import, export, re-export, transfer, and use of all goods, technology, and software purchased, licensed, and received from Supplier. Unless otherwise mutually agreed in writing, 12.2 Buyer confirms that it is trained for the use of the goods and that it will ensure that all goods are properly installed, maintained and used in accordance with rules applicable to the goods, Supplier's instructions if any, the security rules, including the legal provisions on hygiene and security in the workplace, and Buyer will indemnify Supplier in respect of any costs, claims, actions or liability arising out of the Buyer not complying with the above, or otherwise arising out of the supply by Buyer to third parties or use by others of the goods. 12.3 Buyer may use Supplier's trademarks, tradenames, other marks and product names, or those of Supplier's affiliates, in a form approved by Supplier in writing for promotion of Buyer's re- sale of the goods. Use of or linkage between any of Supplier's domain names, websites or URLs, or those of Supplier's affiliates, and any of Buyer's must be approved by Supplier in advance in writing. 12.4 Buyer shall maintain appropriate up-to-date and accurate records to enable the immediate recall of any of the goods. These records shall include records of deliveries to customers (including details of batch numbers, delivery date, name and address of customer, and telephone number and fax or telex number if available). Buyer shall give such assistance as Supplier shall require for the purpose of recalling as a matter of urgency any quantities of any of the goods.

Buyers Commitments. The Buyer agrees to refrain from placing their Tibetan Mastiff with a pet store, pet broker or shelter. The Buyer agrees that the dogs will not be sold, traded, leased or given away without the foreknowledge and written agreement of the Breeder. If, for any reason, the buyer should have to relinquish the dog, the buyer will notify the Breeder and the Buyer will return the dog to the Breeder. The Buyer promises to promptly notify the breeder of any health or behavioral problems in the puppy. The Buyer recognizes that this puppy is a living being that requires a lifetime of total love, support and commitment. Failure to provide humane care for the puppy will result in the buyer relinquishing the puppy to the Breeder. Humane care shall include proper nutrition, veterinary care, shelter and companionship. If neglect or abuse is evident or if the buyer violates any of the terms of this policy, the buyer will bear any legal costs to reclaim the dog. Buyer agrees to take whatever measures to make certain that their Tibetan Mastiff is provided for and that their heirs or conservators are aware of the breeder’s contact information. The buyer agrees to return the dog to the breeder in the event that the buyer cannot care for the dog.
