Orders, Commitments and Returns. All accepted and unfilled orders for the sale of products and the performance of services by the Company in connection with the Business, and all outstanding contracts or commitments for the purchase of supplies, materials and services in connection with the Business were made in bona fide transactions in the Ordinary Course of Business consistent with past practice. Other than in the Ordinary Course of Business, there are no claims against the Company to return products by reason of alleged over shipments, defective products, understandings that products would be returnable, or otherwise, that would have a Material Adverse Effect.

Orders, Commitments and Returns. Part 3.27 of the Disclosure Letter contains (a) an accurate summary of the company's total backlog of orders as of December 31, 1999 (including all accepted and unfulfilled sales orders) and (b) the aggregate of all outstanding purchase orders issued by the Company as of December 31, 1999 (which include all contracts or commitments for the purchase by the Company of merchandise, materials or other supplies).
