Broker or Finder Fees. Except as otherwise set forth in Schedule 3.22 hereto, all negotiations relating to this Agreement and the transactions contemplated hereby have been carried out without the intervention of any Person acting on behalf of any of the Companies in such a manner as to give rise to any valid claim against Buyer or any Company for any broker’s fee, finder’s fee or similar compensation.
Broker or Finder Fees. The Seller/Lessee represents and warrants that it has not engaged any broker or finder or incurred any liability for brokerage fees, commissions or finder’s fees in connection with the transactions contemplated by this Agreement, and agrees to indemnify and hold harmless the Buyer/Lessor against any claims or liabilities asserted against it by any person acting or claiming to act as a broker or finder on behalf of the other party.
Broker or Finder Fees. No Party has an agreement with any broker and has no obligation to pay any finder's fee, brokerage or agent's commissions or other like payments in connection with negotiations leading to this Agreement or the consummation of the transactions contemplated hereby.
Broker or Finder Fees. All negotiations relative to the Transaction have been carried out by the Sellers directly with the Purchaser with the advice of Xxxxxx X. Xxxxx Limited and Equita SIM S.p.A., and no agent, broker, investment bank, person or firm acting on behalf of the Sellers or any Group Company is or will be entitled to any commission or broker or finder fees from any of the Parties, in connection with the negotiations relating to this Agreement or the Transaction, except for the above mentioned advisors whose fees and expenses will be paid solely by the Sellers.

All negotiations relative to this Transaction have been carried out by the Purchaser directly with the Sellers and no agent, broker, investment bank, person or firm acting on behalf of the Purchaser is or will be entitled to any commission or broker or finder fees from any of the Parties, in connection with the negotiations relating to this Agreement or the Transaction.

Except as otherwise set forth in Schedule 3.23 hereto, no broker, finder, financial advisor, investment banker or similar intermediary has acted for or on behalf of any Entity, any Stockholder, or any of their respective Affiliates in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement with any Entity, any Stockholder, or any of their respective Affiliates.
