Authority of Lessor. By signing this Contract, the Resident acknowledges and agrees that the University has the power and authority to enforce the terms of this Contract, including the collection of rent owed to SOU as lessor by the Resident as lessee pursuant to the terms of this Contract. In addition, the Resident acknowledges and agrees that the University has the power and authority to enforce all policies referenced in this Contract.
Authority of Lessor. The execution and delivery of each Operative Document delivered by Lessor on such date and the performance of the obligations of Lessor under each Operative Document has been duly authorized by all requisite action of Lessor.
Authority of Lessor. Lessor is, and shall act, as an independent contractor and shall not have any authority to make any commitments, statements, representation, or incur any obligations, on behalf of AFI, or to bind or commit AFI in any manner, to make, alter, or execute any document or agreement on behalf of AFI. Lessor shall not use any name or xxxx of AFI or any affiliate of AFI in any way unless it has AFI's prior written approval. Lessor shall not accept service of any legal process in any action that may be brought against AFI, or employ attorneys to defend such without AFI's prior written approval.
Authority of Lessor. Lessor is a limited liability company, duly formed and organized and validly existing under the laws of the State of Arizona and qualified to do business in the State of Arizona. The persons who have executed this Lease on behalf of Lessor are duly authorized to do so.
Authority of Lessor. The person who has executed this Lease on behalf of Lessor is duly authorized so to do.
Authority of Lessor. Lessor has the right, power and authority to enter into this Lease.
Authority of Lessor. LESSOR warrants to LESSEE that he has full and lawful authority to enter into this Lease for the term hereof, and any extension thereof; that he is lawfully seized of the leased premises and his good and marketable title thereto.
Authority of Lessor. The execution and delivery of each Operative Document delivered by Administrative Agent on such date and the performance of the obligations of Administrative Agent under each Operative Document has been duly authorized by all requisite action of Administrative Agent.
Authority of Lessor. The Lessor has full power and authority to execute and deliver the Master Lease Amendment pursuant to the terms of this Agreement and that when so executed and delivered, such Master Lease Amendment shall constitute the valid and binding obligations of the Lessor, enforceable against such Lessor in accordance with its respective terms, except as such enforceability may be limited by creditors’ rights laws and general principles of equity.
Authority of Lessor. Lessor and Lessee acknowledge that the rights and responsibilities of Lessor under this Memorandum of Lease with respect to any action taken by Lessor or the exercise or non exercise by Lessor of any option, voting right, request, judgment or other right or remedy provided for herein or resulting or arising out of this Memorandum of Lease shall, as between Lessor, Administrative Agent and Lender, be governed by the Credit Agreement and by such other agreements with respect thereto as may exist from time to time among them, but, as between Lessee and Administrative Agent, Lessor shall be conclusively presumed to be acting as agent for Administrative Agent and Lender with full and valid authority so to act or refrain from acting, and Lessee shall be under no obligation, or entitlement, to make any inquiry respecting such authority.
