Audits and Disputes a. The Royalty Holder, upon written notice, shall have the right to have an independent firm of certified public accountants audit the records that relate to the calculation of the Net Smelter Return interest within12 months after receipt of a payment described in paragraph 9. of this agreement for a calendar quarter.

Audits and Disputes. (a) Grantor shall keep true and accurate books and records for the purposes of calculating and verifying Net Smelter Returns. Such books and records shall be kept on the cash basis in accordance with generally accepted accounting principles and practices consistently applied. Grantee shall have the right to audit the books and records that relate to the calculation of the Net Smelter Returns interest within 24 months after each receipt of a Royalty payment. In conducting such audit, Grantee shall have the right to copy all records and data pertaining to the computation of Net Smelter Returns, including without limitation records and data that are maintained electronically.
