Assumption and Acceptance. Assignee hereby accepts the assignments as aforesaid, and assumes and agrees to perform the duties, obligations and liabilities of Assignor under the MIPA as set forth therein assumed by Assignee pursuant to this Assignment.
Assumption and Acceptance. Land Assignee and Homes Assignee each hereby accept their respective assignment as aforesaid, and assume and agree to perform the duties, obligations and liabilities of Assignor under the Purchase Agreement as set forth therein to the extent assumed by Land Assignee and Homes Assignee respectively pursuant to this Assignment.

Assignee hereby accepts the above assignment and transfer and expressly assumes and covenants to keep, perform, fulfill and discharge all of the terms, covenants, conditions and obligations required to be kept, performed, fulfilled and discharged by Assignor in, under and with respect to the Leases, the Tenant Security Deposits (but only to the extent Assignee received a credit therefor at Closing), the Service Contracts and the Plans and Approvals first arising or accruing from and after the Effective Date. Assumption and Acceptance. The Northern Trust Company (the "NEW LENDER") hereby (i) agrees that, from and after the Effective Date, it shall become a "Lender" under the Credit Agreement and shall be obligated to perform all of the obligations of a Lender under the Credit Agreement (including without limitation under Article II thereof), including the requirements concerning confidentiality and the payment of indemnification and (ii) agrees that it will perform in accordance with their terms all of the obligations which by the terms of the Credit Agreement are required to be performed by it as a Lender.
Assumption and Acceptance. (2) Resolutions of Transferee's Board. A true and complete copy of the resolutions of Transferee's Board of Directors by which the execution, delivery and performance of this Agreement and Transferee's Closing Documents were authorized, certified by the Secretary or Assistant Secretary of Transferee as of the date hereof, and all other certificates, consents, approvals and documentary evidence, if any, required to be delivered pursuant to this Agreement.
Assumption and Acceptance. By the execution of this Assignment, Assignee expressly accepts the Notes.

Assumption and Acceptance. Assignees hereby accept the aforementioned assignment and hereby assume the rights and obligations under, and agree to be bound by, the Assigned Agreements, provided that Assignor shall remain jointly and severally liable with Assignees with respect thereto, except as provided in Section 10(b) hereof.
