Assignment of Employment Agreement. Effective as of the LSC Distribution Date, as defined in the Separation and Distribution Agreement by and among RRD, LSC and Donnelley Financial Solutions, Inc. (the “Distribution Date”), RRD hereby irrevocably, absolutely and unconditionally assigns, transfers, conveys and delivers to LSC and its successors and assigns all of RRD’s right, title and interest in, to and under the Employment Agreement.
Assignment of Employment Agreement. Effective as of the Effective Date, the Assignor hereby irrevocably, absolutely and unconditionally assigns, transfers, conveys and delivers to the Assignee and its successors and permitted assigns forever all of the Assignor’s right, title and interest of every kind, nature and description in, to and under the Employment Agreement, except as related to the Retained Obligations.
Assignment of Employment Agreement. The Executive acknowledges that the Employment Agreement between the Executive and Sattel Communications Company has been assigned to the Company and agrees that references in such agreement to Sattel Communications Company shall be deemed to refer to the Company and that references to the Committee in such agreement shall be deemed to refer to the Board of Directors of the Company.
Assignment of Employment Agreement. After the Effective Time, the JDH Entities shall cause JQH Inc. to assign to JQH Management Company, and the Stockholders shall cause JQH Management Company to accept assignment of, that certain Employment Agreement dated September 17, 2001, by and between Xxx Xxxxxxxxx and JQH Inc.
Assignment of Employment Agreement. ASSIGNOR hereby sells, assigns and transfers to the ASSIGNEE all of its right, title and interest in and to the EMPLOYMENT AGREEMENT and hereby appoints ASSIGNEE as its attorney-in-fact irrevocably to enforce the terms and conditions of said EMPLOYMENT AGREEMENT as it might or could have done if this ASSIGNMENT OF EMPLOYMENT AGREEMENT were not executed.
Assignment of Employment Agreement. Dentist acknowledges and agrees that in the event of an Event of Default, the Practice shall be required to assign the Employment Agreement executed between the Practice and the Dentist to Pentegra or its authorized designee pursuant to the terms of the Service Agreement; and the Dentist hereby agrees that he shall execute all documentation evidencing such assignment.
Assignment of Employment Agreement. AmeriPath APA and Purchaser shall have entered into an Assignment and Assumption Agreement substantially in the form attached hereto as Exhibit 8.13.
Assignment of Employment Agreement. HRM shall assign to HW and HW shall assume the employment agreement entered into between HRM and Xxx Xxx, former Project Manager, dated 31 March 2010, a copy of which has been provided to HW by HRM. HW hereby affirms that any rights or obligations between Xxx Xxx and HRM are affirmed by HW and survive said assignment and further that the indemnification of Xxx Xxx survives the expiration of the employment agreement.
Assignment of Employment Agreement. In accordance with Section 14 of the Employment Agreement, the Company hereby assigns the Employment Agreement, including all benefits, duties and obligations, to XELR8 as the Employer pursuant to the Employment Agreement. All references in the Employment Agreement to Employer shall apply solely to XELR8.
Assignment of Employment Agreement. SpectraSite Holdings hereby assigns, sells, transfers, and delivers to SpectraSite Communications all of the right, title, and interest of SpectraSite Holdings in, and delegates to SpectraSite Communications all of the duties, obligations, and liabilities of SpectraSite Holdings under, the Executive Employment Agreement (the "Employment Agreement"), dated as of May 12, 1997, by SpectraSite Holdings and the Executive to have and to hold the same, upon and subject to the covenants, terms, and conditions contained therein for the remainder of the term thereof. A photocopy of the Employment Agreement is attached as an Exhibit hereto.
