Archival/Backup Copy. Licensor shall provide to Licensee upon request, or Licensee may create, one (1) copy of the entire set of Licensed Materials to be maintained as a backup copy. In the event that the Agreement is terminated, or the Licensor no longer offers the Licensed Materials online, Licensee and Participating Institutions may use the backup copy to exercise their rights under section XII, Perpetual Rights, of this Agreement.

Archival/Backup Copy. The Distributor shall provide to the Licensee upon request, or the Licensee may independently create, one (1) copy of the entire set of the Licensed Materials to be maintained as a backup copy. In the event that this Agreement is terminated, or the Publisher no longer offers the Licensed Materials online, the Licensee and Participating Institutions may use the backup copy to exercise their rights under Section 12 (Perpetual Rights) of this Agreement.
Archival/Backup Copy. The Publisher may update, modify, or replace the relevant Licensed Materials (including any content therein) from time to time, and the any such updates, modifications or replacements will apply to the Licensee. The Publisher may discontinue offering access to any of the Licensed Materials, and any such discontinuation will apply to this Agreement. The Distributor will use commercially reasonable efforts to provide, or to cause the Publisher to provide, advance notice to the Licensee of any such discontinuation. For perpetual access basis Licensed Materials, Licensor will provide to Licensee, or will cause the Publisher to provide Licensee, upon Licensee’s request, an electronic copy of the discontinued Licensed Materials, subject to Licensee’s payment of a media, fulfillment, and/or delivery fee and Licensee’s execution of an additional agreement.

In the event that the Agreement is terminated, or the Suweco no longer offers the Materials online, NTK and Participating Institutions may use the backup copy to exercise their rights under section XII, Perpetual Rights, of this Agreement.
