Archival Copy. Licensor shall provide to Licensee upon request, or Licensee may create, one (1) copy of the entire set of Licensed Materials to be maintained as an archival copy. The archival copy from the Publisher shall be provided without any DRM in a mutually agreeable medium suitable to the content, and any fees for provision of copies will be on a time and materials basis only.

Archival Copy. Upon termination of this agreement, Licensee may retain one copy of any CD-ROM, diskette or other fixed media database for archival purposes. This archival copy of the database does not entitle the Licensee to any updates of the material.

Archival Copy. Where the Publisher is no longer able to provide online access to the Licensed Materials, the Distributor shall provide or ensure that the Publisher will provide to the Licensee upon request one (1) copy of the entire set of Licensed Materials to be maintained as an archival copy. The archival copy from the Distributor or the Publisher shall be provided without any DRM in a mutually agreeable medium suitable to the content, and any fees for provision of copies will be on a time and materials basis only. The Publisher may provide this access via third party archiving services such as Portico or CLOCKS.
Archival Copy. The Seller may retain an archival copy of all Assigned Agreements, Royalty Reports, and any books and records or other documents or materials conveyed hereunder (subject to Seller’s confidentiality obligations pursuant to Section 6.1 hereof).

Subject to the various provisions hereof, all written information (including electronic information only if reduced to print) delivered by the discloser to the recipient pursuant to this Agreement shall be and remain the discloser’s property, and all such written information, and copies thereof, shall be promptly returned to the discloser upon written request of the discloser.
