Appointment of the Master Servicer. (a) Xxxxx Union Bank and Trust Company agrees to act as the Master Servicer and to perform all servicing duties under this Agreement, subject to the terms hereof.

Appointment of the Master Servicer. (a) The servicing, administering and collection of the Pool Receivables shall be conducted by the Person so designated from time to time as the Master Servicer in accordance with this Section 9.01. Until the Administrative Agent gives notice to Nabors (in accordance with this Section 9.01) of the designation of a new Master Servicer, Nabors is hereby designated as, and hereby agrees to perform the duties and obligations of, the Master Servicer pursuant to the terms hereof. Upon the occurrence of an Event of Termination, the Administrative Agent may (with the consent of the Majority Purchasers) and shall (at the direction of the Majority Purchasers) designate as Master Servicer any Person (including itself) to succeed Nabors or any successor Master Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Master Servicer pursuant to the terms hereof.
Appointment of the Master Servicer. (a) Advanta Mortgage Corp. USA agrees to act as the Master Servicer and to perform all servicing duties under this Agreement subject to the terms hereof.
Appointment of the Master Servicer. The Administrative Agent and each Purchaser hereby appoints the Master Servicer as its agent, and MRFC hereby acknowledges such appointment, to service the Transferred Receivables and enforce its rights and interests in and under each Transferred Receivable and Contract therefor and the MRFC Collateral and to serve in such capacity until the termination of its responsibilities pursuant to Section 9.02 or 11.01. In connection therewith, the Master Servicer hereby accepts such appointment and agrees to perform the applicable duties and obligations set forth herein. The Master Servicer may subcontract with each Originator for the collection, servicing or administration of the Transferred Receivables originated by such Originator (in such capacity, a “Sub-Servicer”); provided that (a) the Master Servicer shall remain liable for the performance of the duties of each Sub-Servicer pursuant to the terms hereof and (b) any sub-servicing agreement that may be entered into (each a “Sub-Servicing Agreement”) and any other transactions or services relating thereto shall be between such Sub-Servicer and the Master Servicer alone, and the Purchasers and the Administrative Agent shall not be deemed parties thereto and shall have no obligations, duties or liabilities with respect to the Sub-Servicer.

The servicing, administering and collection of the Receivables shall be conducted by the Person (the "Master Servicer") so designated from time to time in accordance with this Section 6.1. Until the Company gives notice to the Borrower of the designation of a new Master Servicer, Portfolio Financial Services Company is hereby designated as, and hereby agrees to perform the duties and obligations of, the Master Servicer pursuant to the terms hereof. The Master Servicer may not delegate any of its rights, duties or obligations hereunder, or designate a substitute Master Servicer, without the prior written consent of the Agent; provided that it is understood that the Master Servicer's duties hereunder with respect to particular Receivables may and shall be delegated to the respective Originators thereof; and provided, further, that the Master Servicer shall continue to remain solely liable for the performance of the duties as Master Servicer hereunder 76 82 notwithstanding any such delegation hereunder. The Agent may, and upon the direction of the Majority Investors the Agent shall, after the occurrence of a Master Servicer Default or any other Termination Event (other than those specified in clauses (k), (l), (q) and (r) of Section 7.1) designate as Master Servicer any Person (including itself) to succeed Portfolio Financial Services Company or any successor Master Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Master Servicer pursuant to the terms hereof. Following the occurrence and continuance of a Master Servicer Default or any Termination Event (other than those specified above), the Agent may notify any Obligor of the Advances.

Upon the occurrence of an Amortization Event, the Administrative Agent may and shall (at the direction of the Purchasers) designate as Master Servicer any Person (including itself) to succeed MSC or any successor Master Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Master Servicer pursuant to the terms hereof.
