Appointment & Duties. Xxxxxxx Lynch, Xxxxxx, Xxxxxx & Xxxxx Incorporated is hereby designated as the initial Remarketing Agent for the Bonds and shall serve as such under the terms and provisions hereof. The Remarketing Agent and each successor Remarketing Agent for the Bonds of any subseries appointed in accordance with this Bond Indenture shall designate its principal office and signify its acceptance of the duties and obligations imposed upon it as described herein by a written instrument of acceptance delivered to the Issuer, the Trustee, the Tender Agent and the Borrower, under which the Remarketing Agent will agree particularly:

Appointment & Duties. Company hereby hires and appoints Consultant for the performance of services in connection with the publishing by Company of certain materials to be published by Company, and Consultant hereby accepts such appointment from Company, during the term of this Agreement, upon the terms and subject to the conditions set forth below. Consultant shall supervise and as necessary perform, manage and administer all aspects of Company's publishing operations. Consultant's duties shall be subject to the direction and control of the Management Committee of Company. Notwithstanding the foregoing, and not in limitation of the generality of the foregoing, Consultant's duties shall include establishing a Chicago office for Company, and substantial efforts toward the development of United States publication titles to be released in the Spring of 1999.
Appointment & Duties. Each of PI and Vicis hereby irrevocably appoints and authorizes the Collateral Agent to act as its collateral agent hereunder with such powers as are specifically delegated to the Collateral Agent by the terms hereof, together with such other powers as are reasonably incidental thereto. The Collateral Agent may execute any of its duties hereunder by or through its agents or employees and shall be entitled to retain counsel and to act in reliance upon the advice of such counsel concerning all matters pertaining to its duties hereunder. The powers conferred on the Collateral Agent hereunder are solely to protect its interest and the interest of PI and Vicis in the Collateral and shall not impose any duty upon it to exercise any such powers.
Appointment & Duties. The Company hereby retains Board Member to, and Board Member hereby agrees to, serve as a member of and Chairman of the Company’s Board of Directors (the “Board”), subject to any required Board and/or security holder approval. As a member and Chairman of the Board, Board Member will be expected to (i) attend any meetings of the Board; (ii) lead Board meetings and conference calls; (iii) provide guidance and advice to the Company on matters and developments potentially relevant to the Company’s business and areas of research and development and otherwise as either the Company or Board Member considers appropriate; (iv) develop, review and comment on the Company’s strategies for research and development, product definition, regulatory approvals, business development and marketing, partnering, fund raising as well as its related presentations and materials; (v) provide consulting services to the Company at its request, including a reasonable amount of informal consultation in person, over the telephone, by email, or otherwise as requested by the Company, at times reasonably convenient to Board Member; and (vi) with the Company’s approval in each instance, make introductions to individuals and corporations that might be of assistance to the Company.

Each Investor hereby appoints and authorizes the Collateral Agent to take such action as the Collateral Agent on its behalf and to exercise such powers under this Agreement and the other Transaction Documents as are delegated to the Collateral Agent by the terms hereof and thereof, together with such other powers as are incidental thereto or as the Collateral Agent and the Investors may agree. The Collateral Agent will have no duties, responsibilities, obligations or liabilities other than those expressly set forth in this agreement and the other Transaction Documents, and no additional duties, responsibilities, obligations or liabilities will be inferred from the provisions of this Agreement or the Transaction Documents or imposed on the Collateral Agent. As to actions that the Collateral Agent is not expressly required to take pursuant to the provisions of this Agreement or the other Transaction Documents (including enforcement or collection of the Notes), the Collateral Agent will not exercise any discretion or take any action, but will be required to act or to refrain from acting (and will be fully protected in so acting or refraining from acting) solely upon the written instructions of the Required Holders, and such instructions will be binding upon all of the Investors, provided that the Collateral Agent will in no event be required to take any action which exposes the Collateral Agent to personal liability for which it is not indemnified hereunder, or which is contrary to the Transaction Documents or law or with respect to which the Collateral Agent does not receive adequate instructions from the Required Holders. The Collateral Agent has no duties or relationship of trust or agency with or to the Company or any of its Affiliates.
