No Additional Duties. The Escrow Agent shall have no duties except those that are expressly set forth herein, and it shall not be bound by any notice of a claim or demand hereunder, or any waiver, modification, amendment, termination or rescission of this Agreement, unless received by it in writing.
No Additional Duties. Custodian shall have no duties or responsibilities except such duties and responsibilities as are specifically set forth in this Custodial Undertaking, and no covenant or obligation shall be implied in this Custodial Undertaking against Custodian.
No Additional Duties. The parties acknowledge and agree that the Custodian shall not have any additional duties other than those expressly provided herein. The Custodian has not reviewed the Indenture or the Servicing Agreement and shall have no responsibility or liability in respect thereof. Notwithstanding any other provisions of this Agreement, the Custodian shall have no duty, obligation or liability to ensure compliance with any regulation or statute applicable to the Issuer.
No Additional Duties. The Warrant Agent shall have no duties, responsibilities or obligations as the Warrant Agent except those which are expressly set forth herein, and in any modification or amendment hereof to which the Warrant Agent has consented in writing, and no duties, responsibilities or obligations shall be implied or inferred. Without limiting the foregoing, unless otherwise expressly provided in this Agreement, the Warrant Agent shall not be subject to, nor be required to comply with, or determine if any person or entity has complied with, any other agreement between or among the parties hereto, even though references thereto may be made in this Agreement, or to comply with any notice, instruction, direction, request or other communication, paper or document other than as expressly set forth in this Agreement.
No Additional Duties. Except as expressly set forth in this Sixth Supplemental Indenture, the Trustee assumes no duties, responsibilities or liabilities by reason of this Sixth Supplemental Indenture, other than as set forth in the Indenture, as fully as if said terms and conditions were herein set forth at length.
No Additional Duties. Fleet shall have no responsibilities, obligations or duties other than those expressly set forth in this Agreement, and no implied duties, responsibilities or obligations shall be read into this Agreement; without limiting the foregoing, Fleet shall have no duty to preserve, exercise or enforce rights in the Collateral (against prior parties or otherwise). This Agreement is not intended by the parties to impose or create any obligations or duties upon Fleet greater than, or in addition to, the customary and usual obligations and duties of Fleet to the Pledgor, except as otherwise provided in Section 6. The Pledgor and Fleet acknowledge that this Agreement supplements the Pledgor's existing cash management and other relationships with Fleet and in no way is this Agreement intended to abridge any rights that Fleet might otherwise have under the Fleet Documents or applicable law. Fleet makes no representations and assumes no responsibility as to the validity, enforceability or perfection, if any, of Ableco's purported liens and security interests in the Collateral, other than Fleet's obligation to act in accordance with the material terms of this Agreement.
No Additional Duties. Subcustodian shall have no duties or responsibilities except such duties and responsibilities as are specifically set forth in this Subcustodial Undertaking, and no covenant or obligation shall be implied in this Subcustodial Undertaking against Subcustodian.
No Additional Duties. The parties acknowledge and agree that Custodian shall not have any additional duties other than those expressly provided herein. Custodian has not reviewed the Pledge Agreement and shall have no responsibility or liability in respect thereof. Notwithstanding any other provisions of this agreement, the Custodian shall have no duty, obligation or liability to ensure compliance with any regulation or statute applicable to Pledgor or Pledgee.
No Additional Duties. The sole purpose of this Agreement is to provide for the fair distribution of the Purchase Price payable to the Company under the terms of the SPA to the Principal Shareholders in consideration of their indemnification obligations under the SPA. This Agreement shall impose no further obligations whatsoever on the Company or the Principal Shareholders beyond those, in the case of the Principal Shareholders, respecting such indemnification under the SPA.
