The Contractor will submit one copy of an annual inventory report to the COR, listing all equipment acquired with USAID funds provided under this contract or received from USAID for use under this contract. Annual Inventory Reports. Within [***] days after the end of each Calendar Year, commencing with the Calendar Quarter in which the First Commercial Sale of the Licensed Product in the Field in the Territory occurs, Partner will deliver electronically to Kiniksa a written inventory report (the “Annual Inventory Report”) reconciling beginning and ending inventory and including (a) the number of units of Licensed Product distributed, but not sold (such as samples, donations, and write-offs) in the Territory during such Calendar Year, (b) the number of units of Licensed Product for the Territory that have been lost, destroyed, expired, or become obsolete or spoiled during such Calendar Year, and (c) the number of units of Licensed Product sold in the Territory during such Calendar Year. To the extent reasonably practicable, each Annual Inventory Report will provide such information broken out by lot numbers, dosage form, and unit size, for units of Licensed Product contained in such report. ​ ​ ​

  • SEC Filings; Financial Statements; Information Provided (a) The Company has provided to the Buyer true and complete copies of all Company SEC Reports filed with the SEC prior to the date hereof.
